What Are First Year Accounts, and When Might a Company Report as a Micro Entity?

First year accounts are the first set of statutory annual accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. Once a company is incorporated, it has reporting responsibilities, and its first statutory accounts normally need to be prepared and delivered to Companies House where required, even if trading activity has been limited. The first accounting period usually begins on the date of incorporation. Companies House sets an accounting reference date at incorporation, and for most companies this falls at the end of the month in which the first anniversary of incorporation occurs — although the exact position depends on the company’s own incorporation details and any change made to its accounting reference date. A company’s first accounting period is often longer than twelve months, and the period covered by the first statutory accounts may not be identical to the company’s first Corporation Tax accounting period. That is one of the reasons it helps to look at both together rather than in isolation. Some newly incorporated companies may qualify to report under the micro-entity framework, which uses the financial reporting standard FRS 105. Eligibility is not automatic and does not follow from being newly incorporated or from having modest activity. A company needs to meet the applicable eligibility criteria — broadly assessed against measures such as turnover, balance sheet total and employee numbers — and those criteria should be checked for the specific accounting period in question. Where a company does not qualify as a micro-entity, it may fall within the small company framework, or it may need to prepare accounts on a more detailed basis. The right framework is a decision based on the company’s circumstances, not a default. A typical set of first statutory accounts includes a balance sheet, and where the applicable framework requires it, a profit and loss account and supporting notes. Directors remain responsible for the accuracy of the company’s accounting records and for ensuring the company meets its filing obligations, even when an accountant is engaged to prepare and submit the accounts. It is also worth being clear about what first year accounts are not. They are separate from a Corporation Tax Return such as a CT600, which is submitted to HMRC where applicable and deals with the company’s Corporation Tax position. They are separate from a confirmation statement, which is a Companies House filing that confirms the company’s registered details are up to date. They are also separate from VAT Returns, which apply only where a company is VAT registered. Completing one does not automatically complete the others, and each has its own timescales and requirements.

If you are unsure how your company's position should be reported, it is worth reviewing the facts before deciding how to file.

The two serve different purposes and have different destinations, although the accounting information behind the accounts is often used when preparing the company's Corporation Tax position. Filing one does not complete the other, and a company's first Corporation Tax accounting period may not be identical to its statutory accounts period.

Possibly, but not automatically. Micro-entity reporting under FRS 105 is available to companies that meet the applicable eligibility criteria for the accounting period concerned, which are assessed against measures such as turnover, balance sheet total and employee numbers. Paying any penalty does not remove the requirement to file the outstanding accounts.
