First Year Accounts for Limited Company in Wrexham, Prepared and Filed With Professional Support

Your company’s first set of statutory accounts is a milestone, and it is also a formal filing obligation. Micro Entity Accounts helps newly incorporated and newly trading limited companies in Wrexham get their first year accounts for limited company purposes prepared accurately, reviewed properly and delivered to Companies House where required. We start by reviewing your accounting records, share capital details, director transactions and any income or expenses for the period, then prepare a balance sheet and, where applicable, a profit and loss account that reflect the company’s position. If your company also has Corporation Tax obligations, a CT600 and any related computations are handled separately through HMRC, because the accounts filing and the tax return serve different purposes and go to different destinations. Directors remain responsible for the company’s compliance, but professional preparation removes a lot of the guesswork from that first accounting period.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company and Why Does Your New Limited Company Need Them?

First year accounts are the initial set of statutory accounts a limited company prepares for its first accounting period. They are not optional simply because the company is new. Once incorporated, a company has reporting obligations, and those obligations generally begin from the date of incorporation rather than from the date the business starts trading or issuing invoices. The first accounting period usually runs from the incorporation date to the company’s first accounting reference date, although the actual period and the associated filing deadline depend on the incorporation date, the accounting reference date and the applicable Companies House requirements. That is why two companies incorporated a few weeks apart can end up with noticeably different first-year timetables. The accounts themselves are built from the company’s accounting records and typically include a balance sheet showing assets, liabilities and shareholders’ funds, along with a profit and loss account or income statement where applicable. Smaller companies often report under a simplified framework, and where a company meets the applicable eligibility conditions for the relevant period it may be able to prepare micro-entity accounts under FRS 105, the financial reporting standard for qualifying entities using the micro-entity framework. Eligibility is not automatic and should be checked against the company’s own circumstances rather than assumed. It is also worth being clear about what first year accounts are not. They are separate from a Corporation Tax Return, so delivering statutory accounts to Companies House does not submit a CT600 to HMRC, and filing a CT600 does not complete the Companies House filing. A confirmation statement is a further, separate filing that keeps the company’s public information up to date. If your company has had limited activity, or has not yet started trading, it may still have a filing position to deal with, and how that is reported depends on the facts rather than on an assumption that the company is dormant. Directors of newly incorporated companies in Wrexham often find that the first period raises the most questions, because there is no prior year to compare against and the reporting framework has to be selected rather than simply repeated.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

First year accounts are the first set of statutory accounts your company prepares for its initial accounting period. They normally cover the period from incorporation to your company's first accounting reference date, although that period and the resulting filing deadline depend on your incorporation date and the applicable Companies House requirements. The accounts usually include a balance sheet and, where applicable, a profit and loss account, prepared from your company's accounting records.

The deadline depends on your company's incorporation date, its accounting reference date and the filing requirements that apply to it. Companies House confirms the accounting reference date when a company is incorporated, and the first filing deadline is worked out from that date. Because these dates differ between companies, it is worth checking your own company record rather than assuming a standard timeframe. We can help you confirm the position for your company.

Typically we need your company's bank transactions, sales and income records, business expenses and purchase invoices, details of any assets purchased, share capital information, director transactions and any loans or finance arrangements. Where the company runs payroll or is VAT registered, the related records may also be relevant. Not every company will have all of these, so we work from what actually applies to your circumstances.

In most cases a limited company is required to prepare and deliver statutory accounts to Companies House for its accounting period, and that obligation can apply even where the company has had limited activity or has not yet started trading. The reporting position depends on the company's specific circumstances and the applicable rules rather than on an assumption that no trading means nothing needs to be filed. Companies House receives the accounts; it does not prepare them.

They are the same type of filing, simply the first one. First year accounts are your company's initial statutory accounts, and subsequent periods follow the same general principles with a prior-year comparative. The main practical difference is that the first period may be longer or shorter than twelve months depending on your incorporation date and accounting reference date, which affects how the figures are presented.

A company can still have filing obligations even where it has not started trading or has had minimal activity. Whether it is treated as dormant for reporting purposes depends on whether it has had any significant accounting transactions and on the applicable rules, so this should be assessed rather than assumed. If your Wrexham-based company has been inactive, it is worth checking what still needs to be delivered to Companies House.

No. First year statutory accounts are prepared for the company and delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted to HMRC where the company has a Corporation Tax obligation. The accounting information from the accounts often feeds into the tax return, but the two filings have different purposes and different destinations, and completing one does not complete the other.

Some newly incorporated companies may qualify to report under the micro-entity framework if they meet the applicable eligibility conditions for the relevant accounting period. Qualifying does not happen automatically, and FRS 105 applies to entities that are eligible to use the micro-entity framework rather than to every new company. If your company is not eligible, small-company or full reporting requirements may apply instead, so the framework should be determined from your company's circumstances.

Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome can vary depending on how late the filing is and the company's history. Paying any penalty does not remove the requirement to file the outstanding accounts. If your accounts are already overdue, it is best to deal with them promptly, and professional support can help you get the position resolved.
