Incorporating a limited company in Worcester brings statutory duties that arrive sooner than many directors expect, and the first set of accounts is usually the most significant of them. Micro Entity Accounts supports newly incorporated and newly trading companies with their First Year Accounts for Limited Company requirements from start to finish: reviewing your accounting records, preparing the statutory accounts, setting out the balance sheet and any profit and loss account required, and delivering those accounts to Companies House where required. We also help you understand how your company’s first accounting period has been set, which reporting framework may apply to it, and how the Companies House filing sits alongside separate HMRC obligations such as a CT600 Corporation Tax Return.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

I had a positive experience with Accotax. The work was completed promptly, my tax return was successfully filed, and I received a refund of overpaid tax. I found the cooperation efficient and helpful. Special thanks to Muhammad Saifullah for his assistance.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company? A Worcester Director's Guide

First year accounts are the first set of statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which generally starts on the date of incorporation and ends on the company’s first accounting reference date. That period is not always a neat twelve months, and in certain circumstances it can be shortened or extended, so the exact dates depend on the company’s own position rather than a single rule that applies to everyone. The accounts normally include a balance sheet, together with a profit and loss account and notes where the framework in use requires them, and they are delivered to Companies House where required. Directors across Worcester often ask whether the micro-entity framework applies to them. Some companies do qualify, and a qualifying entity may be able to prepare a simpler set of accounts under FRS 105, the financial reporting standard that applies to micro-entity reporting. Qualification depends on meeting the relevant eligibility conditions for the accounting period concerned, so it is worth checking rather than assuming that a newly formed company, a startup or a business with modest income automatically qualifies. It also helps to be clear about what first year statutory accounts are not. They are separate from a Corporation Tax Return such as a CT600, which is prepared for and submitted to HMRC, and separate again from the annual confirmation statement. Delivering accounts to Companies House does not, by itself, complete those other obligations, even though the figures in the accounts often feed into the tax work later on.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

Get Your First Year Accounts for Limited Company in Worcester Prepared Accurately

The first set of accounts is often the one directors find hardest, because there is no previous year to compare against and the reporting framework may be unfamiliar. Micro Entity Accounts works with company directors and newly incorporated businesses in Worcester on the practical side of that process: making sense of the records you hold, establishing which framework applies to your company, preparing the statutory accounts and filing them with Companies House where required. If you are unsure what your first accounting period covers, whether a CT600 will also be needed for HMRC, or how your figures should be presented, get in touch and we will set out the position for your company clearly before anything is submitted.

They are the first set of statutory accounts covering a company's initial accounting period, prepared after incorporation. Depending on the framework that applies, they normally include a balance sheet, a profit and loss account where required and supporting notes. They are a statutory document rather than an optional exercise, and they are delivered to Companies House where required.

The filing date is driven by the company's accounting reference date and the rules that apply to a first accounting period, which can be longer or shorter than a standard twelve months. Two companies incorporated even a few weeks apart may not share the same deadline, so we check the dates that apply to your company rather than relying on a general assumption.

It depends on what the company has actually done. Typical records include bank statements and transactions, sales or income records, purchase invoices and business expenses, asset purchases, loans and any director transactions, plus share capital details, and payroll or VAT records where those are relevant. A company with very little activity may need to provide very little information, but the position should be reviewed rather than guessed at.

A company generally has statutory filing obligations once it is incorporated, even where trading has not yet begun or activity has been limited. Where a company has had no significant accounting transactions, its reporting position still depends on its circumstances and the applicable rules rather than being automatically treated as dormant. Accounts filing is also separate from the confirmation statement, which remains its own Companies House requirement.

No. Statutory accounts are delivered to Companies House, while a Corporation Tax Return such as a CT600 is submitted to HMRC. They serve different purposes, go to different places and one does not automatically complete the other. The figures in the accounts often support the tax return, but the company's first Corporation Tax accounting period and its statutory accounts period may not be identical.

Many directors in Worcester incorporate a company well before it begins trading, and that is a normal position to be in. Whether accounts need to be prepared, and how they should be presented, depends on the company's circumstances and the applicable rules, and a company with no significant transactions is not automatically dormant in the technical sense. It is worth confirming the position before any filing is made.

Some companies do qualify, where they meet the relevant eligibility conditions for the accounting period in question. Qualification is not automatic for startups, for newly incorporated companies generally or simply because turnover is low. Where a company does qualify, FRS 105 is the standard that applies to micro-entity accounts and it allows a more streamlined format than full accounts.

Filing after the applicable deadline can lead to Companies House consequences, and the outcome can vary depending on how late the accounts are. Paying any penalty does not remove the requirement to file. Where accounts are already overdue, the usual priority is to get accurate accounts prepared and delivered as soon as possible and then consider whether an appeal is appropriate, which depends on the circumstances and the applicable rules.
