What Are First Year Accounts for a Micro Company?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. Once a company is incorporated, it takes on reporting responsibilities, and those responsibilities exist whether or not the business has started trading, issued invoices or made a profit. Every company has an accounting reference date, and Companies House sets an initial one based on the date the company was incorporated. The first accounting period generally runs from incorporation to that date, although the length of a first period can vary from company to company. That matters because the accounting period determines what the accounts cover — and it also means that no two new companies necessarily share the same starting point or the same first-year timetable. The accounts themselves are prepared from the company’s accounting records: bank transactions, sales and income, expenses, purchase invoices, asset purchases, director transactions, share capital details and any loans or finance the company holds. Payroll and VAT records may also be relevant where those apply. From those records, we build a balance sheet and, where applicable, a profit and loss account, together with the supporting notes and a directors’ report where the reporting framework requires one. Where a company is eligible, the micro-entity framework may be available, and FRS 105 is the financial reporting standard that applies to qualifying entities using that framework. Eligibility depends on the company’s circumstances and the requirements in force for the relevant accounting period, so it is something to confirm rather than assume. A newly incorporated company is not automatically a micro-entity, and holding modest turnover does not by itself settle the question. It also helps to separate the different filings. First year statutory accounts are delivered to Companies House where required. A Corporation Tax Return such as a CT600 goes to HMRC, and it is a separate submission with its own purpose. A confirmation statement is a further requirement again, keeping the public register up to date. Completing one does not complete the others. Directors remain responsible for making sure each obligation is met, even where an accountant prepares the paperwork.

The deadline depends on the company's accounting reference date and the applicable Companies House requirements, so it is not the same for every company. A first accounting period can be longer or shorter than twelve months, which affects the timetable. Rather than work from a general assumption, it is worth confirming your company's specific accounting reference date and the filing deadline that follows from it before the period closes.

As a starting point, we would usually look for bank statements and transactions, sales and income records, business expense receipts and purchase invoices, details of any assets bought, share capital information, director loan movements and details of any finance or borrowing. Payroll and VAT records matter where those apply. Not every company will have all of these — a newly incorporated company may have very few transactions, and that is fine. Companies generally have statutory accounts filing obligations once incorporated, and that position does not disappear simply because trading has not yet started or activity has been limited. First year accounts are delivered to Companies House where required. If your company has had no significant accounting transactions, its reporting position depends on its circumstances and the applicable rules — it is not automatically treated as dormant, and dormant status is a separate matter that needs to be looked at properly.

A confirmation statement keeps your company's information on the public register up to date, while first year accounts report the company's financial position for its first accounting period. Filing accounts does not satisfy a confirmation statement obligation, and filing a confirmation statement does not complete your accounts filing. A limited company may need to deal with both.

Where accounts are filed after the applicable deadline, there can be Companies House consequences, although the outcome is not necessarily the same in every case. Paying any penalty that arises does not remove the requirement to file the outstanding accounts. If you find yourself in that position, get in touch early — the sooner the accounts are prepared and submitted, the better the position usually is, and any appeal depends on the circumstances and the rules that apply.
