First Year Accounts for Limited Company in Woodley — Preparation and Filing Support

A company’s first set of statutory accounts is where its reporting history begins. If you have incorporated a limited company in Woodley and the first accounting period is drawing to a close, Micro Entity Accounts can prepare your First Year Accounts for Limited Company, review the accounting records they are built from and file the accounts with Companies House where required. We start by understanding how the company has actually operated — whether the year has been busy, steady or largely inactive — then determine which reporting framework fits, what the figures should show and what information still needs to be gathered. Corporation Tax sits separately from this process: where the company has a Corporation Tax liability or filing obligation, a CT600 is submitted to HMRC rather than Companies House, and we can assist with that alongside the accounts. Clear pricing, plain English and a clear view of what needs to be done next.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of statutory accounts a newly incorporated limited company prepares. They cover the company’s initial accounting period, which normally starts on the date of incorporation and runs to its first accounting reference date — usually set with reference to the anniversary of incorporation, so it may fall at the end of a month rather than on the exact incorporation date. Once that period is closed, the accounts are generally filed with Companies House where required. This is not an optional extra simply because the company is new; a limited company has statutory reporting obligations from incorporation, even where activity has been limited or trading has not yet begun. The accounts themselves typically consist of a balance sheet, and a profit and loss account where applicable, together with any notes required by the framework used and the directors’ statement on the balance sheet. Directors remain responsible for making sure the accounts are prepared and filed correctly, even when an accountant handles the preparation and submission. The exact content depends on the company’s circumstances, its size and the reporting framework that applies for the period. Some newly incorporated companies qualify to report under the micro-entity framework, with FRS 105 as the financial reporting standard for qualifying entities using it. Eligibility depends on the applicable size criteria for the relevant accounting period and is assessed separately for each company — incorporation alone does not create entitlement, and not every small company will meet the tests. Where a company does qualify, micro-entity accounts can be simpler to prepare and file; where it does not, another framework will apply. It is worth separating first year accounts from the other filings a company may face. A Corporation Tax Return, such as a CT600, goes to HMRC and is a separate obligation with its own accounting period, which may not match the statutory accounts period. A confirmation statement is also a separate filing that keeps the public register up to date, and filing accounts does not replace it. First year accounts deal with the statutory accounts themselves, and professional support can help Woodley directors get that first period right before the company moves into its regular annual cycle.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Annual Turnover of £1 Million or less. (£632,000 previously)

They are the first set of statutory accounts a limited company prepares, covering the period from incorporation to its first accounting reference date. In practice they look similar to accounts for later years, but the period they cover is usually different and may be longer or shorter than twelve months. They generally include a balance sheet and, where applicable, a profit and loss account, plus any supporting notes required by the framework the company uses.

The deadline depends on the company's accounting reference date, its incorporation date and the length of the first accounting period, so it is not identical for every company. First accounts are often given a longer filing window than accounts for later periods, and the deadline can shift if the accounting reference date or period is changed. The safest approach is to check the dates recorded for your own company rather than relying on a general assumption.

It depends on how the company has operated, but typically we look at bank transactions, sales and income records, purchase invoices and business expenses, any asset purchases, director transactions and loans, share capital details, and payroll or VAT records where those apply. If the company has been quiet, the records needed will be much lighter. We will tell you exactly what is missing once we have seen what you hold.

A limited company generally has to file accounts covering its first accounting period, and that obligation is not removed simply because trading has not started or activity has been minimal. Where a company has had no significant accounting transactions, its reporting position depends on its particular circumstances and the applicable rules — it is not automatically treated as dormant. It is worth confirming the position rather than assuming nothing needs to be filed.

No. First year statutory accounts are prepared for the company and delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has a Corporation Tax obligation. The figures in the accounts often inform the tax return, but the two filings serve different purposes and go to different places. Filing one does not complete the other, and a company's first Corporation Tax accounting period may not match its statutory accounts period.

Some newly incorporated companies can, but not all. Micro-entity eligibility is assessed against the applicable size criteria for the relevant accounting period, and incorporation on its own does not guarantee it. Where a company does qualify, FRS 105 is the standard used for micro-entity reporting, and the accounts can be simpler. We confirm eligibility as part of preparing the accounts rather than assuming a framework up front.

No — they are separate requirements. A confirmation statement confirms that the company's details on the public register are current and has its own review period and filing date. Filing first year accounts does not satisfy the confirmation statement, and submitting a confirmation statement does not complete the accounts. Directors generally need to keep both up to date.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, which may include late filing penalties that increase the longer the accounts remain outstanding, along with further action in some cases. Paying a penalty does not remove the need to file the outstanding accounts. Penalty appeals are possible in some circumstances, but eligibility depends on the facts and the applicable rules, so the priority is usually to get the accounts completed and filed as soon as possible. If your company is based in Woodley and the first accounts are already overdue, we can help you work out the next step.
