What Are First Year Accounts for a Micro Company, and When Does That Framework Apply?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and runs to the company’s first accounting reference date, which is generally set by reference to the anniversary of incorporation and confirmed on the Companies House register. Because a first accounting period can be longer than a standard twelve-month year, the figures it covers are not always directly comparable with later trading periods, and the disclosures required can differ from those in subsequent sets of accounts. These accounts are not optional simply because the company is new, quiet or has only recently started operating. A limited company is required to prepare accounts and, where required, to deliver them to Companies House. A company with limited activity, or one that has not yet commenced trading, may still have statutory filing obligations, and its reporting position should be assessed on its own facts rather than assumed to be dormant. Whether a company is treated as dormant for Companies House or HMRC purposes is a separate question from whether it has been newly incorporated. Some companies are eligible to prepare accounts under the micro-entity framework, which uses a simplified format and a reduced level of disclosure compared with larger reporting regimes. Eligibility is not automatic and does not follow from low activity alone: it depends on the company meeting the applicable conditions for the relevant accounting period. That period usually starts on the date of incorporation and ends on the company's first accounting reference date. The accounts typically include a balance sheet and, where applicable, a profit and loss account, together with the notes and statements required by the reporting framework the company uses. They are prepared for the company's members and are delivered to Companies House where required.

There is no single answer that applies to every company, because the deadline is worked out from the incorporation date and the company's accounting reference date. Companies House generally allows a longer period for a company's first accounts than it does for later years, but the exact date still depends on the individual company's dates as recorded on the register. The accounting reference date can also be changed in certain circumstances, which affects the period the accounts cover. We confirm the relevant date for your company rather than applying a general rule.

It depends on what the company has actually done since incorporation, but the usual starting point is bank statements and transaction records, sales or income records, purchase invoices and expense receipts, details of any assets bought, share capital information, and any loans or director transactions. Where the company runs payroll or is VAT registered, those records are relevant too. If activity has been minimal, the accounts can still be prepared, but we need to see the records that exist in order to reflect the position accurately.

A newly incorporated company still has statutory accounts obligations, and having little or no activity does not automatically remove them. Whether accounts must be filed, and on what basis, depends on the company's circumstances and the applicable requirements. A company with no significant transactions is not automatically dormant for filing purposes, as dormancy involves separate tests. Directors in Wimbledon and elsewhere should check the position rather than assume nothing needs to be sent.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, which may include a penalty. The outcome depends on how late the filing is and on the company's filing history, so it is not the same in every case. Paying a penalty does not remove the requirement to file the outstanding accounts, and the accounts still need to be prepared and delivered.
