First Year Accounts for Limited Company in Willenhall — Prepared and Filed With Confidence

Your company’s first set of statutory accounts is a significant milestone, and it is worth getting right from the outset. Micro Entity Accounts supports newly incorporated and newly trading limited companies in Willenhall with the preparation of their first-year accounts, starting with a review of the accounting records you hold and a clear explanation of what is required for your company’s initial accounting period. We then prepare the statutory accounts and file them with Companies House where required. Where a Corporation Tax Return or CT600 is also due, we can help with that separately — it is an HMRC requirement and a distinct filing from your Companies House accounts, even though the figures behind both are drawn from the same underlying records.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and When Do They Apply?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and runs to the company’s first accounting reference date, which is set when the company is formed and can be shortened or extended in certain circumstances. For a newly incorporated company, the first period is often longer than the twelve months that later accounting periods tend to cover, which is one reason first-year accounts can look different from the accounts a company prepares in subsequent years. Preparing these accounts is not optional simply because the company is new or has had limited activity. A company incorporated in Willenhall — or anywhere else in the UK — generally has to prepare accounts and deliver them to Companies House where required, even if trading has not yet started or transactions have been minimal. Whether a company with very little activity is treated as dormant for reporting purposes depends on its own circumstances and the applicable rules, so that position is worth checking rather than assuming. The term “micro company” comes into play here, but it is not automatic. A company may qualify to use the micro-entity accounting framework if it meets the eligibility requirements for the relevant accounting period, and qualifying entities typically prepare accounts under FRS 105, the financial reporting standard that applies to the micro-entity regime. Many newly incorporated companies do fall within those thresholds, but eligibility has to be considered on the facts, and the appropriate framework is confirmed once the company’s position is understood. If a company does not qualify as a micro-entity, it may instead fall within the small-company framework or need to prepare accounts on a fuller basis. It is also worth being clear about what first-year accounts are not. They are separate from a Corporation Tax Return such as a CT600, which is submitted to HMRC rather than Companies House, and they are separate again from a confirmation statement, which keeps the company’s registered details up to date on the Companies House register. The figures in your accounts may well feed into your Corporation Tax position, and the two obligations often run alongside each other, but they are distinct filings with different purposes and different destinations. Preparing or filing one does not complete the others. Directors remain responsible for making sure the company meets its statutory obligations, including keeping adequate accounting records and ensuring the accounts are filed on time. Engaging an accountant is support with preparing, reviewing and filing the required information — it does not transfer that legal responsibility away from the directors.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

They are the first set of annual statutory accounts your company prepares, covering the period from incorporation to its first accounting reference date. They typically include a balance sheet and, where applicable, a profit and loss account, together with any notes required by the reporting framework you use. Once prepared, they are delivered to Companies House where required.

The deadline depends on your company's incorporation date and accounting reference date rather than following one fixed rule for every company. Companies House sets the first accounting reference date when the company is incorporated, and the filing deadline is calculated from that period end. Because the first period can be longer than twelve months, it is worth confirming your company's specific dates early rather than working from a general assumption.

Usually bank statements and transactions, sales and income records, purchase invoices and business expenses, details of any assets bought, share capital information, director transactions or loans, and payroll or VAT records where those apply to your company. Not every company will have all of these — a newly incorporated company with limited activity may have very little to provide, and we will tell you what is actually needed for your circumstances.

Generally yes, where the company is within scope of the filing requirements. Being newly incorporated, having minimal activity, or not yet having started trading does not by itself remove the obligation to prepare accounts and deliver them where required. If your company has had no significant accounting transactions, the correct reporting treatment depends on your circumstances and the applicable rules rather than being automatically treated as dormant.

The principles are largely the same, but the first period is often longer than twelve months and may include set-up costs, share capital and early transactions that do not repeat in later years. The layout and framework used in later years can also change if your company's size or activity moves it in or out of a particular reporting regime.

No. Statutory accounts go to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The accounting figures are usually the starting point for the tax return, but the two filings have separate purposes and separate destinations, and completing one does not complete the other. Your company's first Corporation Tax accounting period may also differ from the period covered by its statutory accounts.

Some newly incorporated companies do qualify for the micro-entity framework if they meet the eligibility requirements for the relevant accounting period, and qualifying entities commonly prepare accounts under FRS 105. It is not automatic, though — low turnover alone does not confirm eligibility, and a company may instead fall within the small-company framework. We confirm the appropriate basis once we have looked at your company's position.

Filing after the applicable deadline can lead to consequences from Companies House, and the outcome is not identical in every case. Paying any penalty that arises does not remove the requirement to file the outstanding accounts. If your accounts are already overdue, getting them prepared and submitted promptly is the priority — we can help you understand your position in Willenhall and what steps are sensible from here.

No. A confirmation statement is a separate filing that confirms your company's registered details, such as directors, shareholders and registered office, are correct on the Companies House register. Filing your first-year accounts does not satisfy that obligation, and submitting a confirmation statement does not file your accounts.
