What Are First Year Accounts for a Micro Company?

First-year accounts are the first set of statutory accounts your limited company prepares for its opening accounting period. They are not optional simply because the company is new. The first accounting period normally begins on the date of incorporation and ends on the company’s first accounting reference date, which is set when the company is formed. In some cases that first period covers more or less than twelve months, so the exact dates should always be checked against your company’s own record rather than assumed. The completed accounts are then delivered to Companies House where required. That is a Companies House filing obligation and should not be confused with a Corporation Tax Return such as a CT600, which is submitted separately to HMRC, or with a confirmation statement, which is a different filing again. A company’s Corporation Tax accounting period and its statutory accounts period do not always line up exactly, so both need to be considered on their own terms. Where a company meets the relevant eligibility criteria for the accounting period, it may be able to report as a micro-entity using the micro-entity framework and FRS 105. That is not automatic. A company only qualifies if it satisfies the applicable tests, and the appropriate framework depends on the company’s circumstances. The same principle applies to directors in Washington who have formed a new company and want to understand what the first filing actually involves.
