First Year Accounts for Limited Company in Warlingham, Prepared and Filed Properly

Your company’s first set of statutory accounts is a milestone worth getting right. For directors of a newly incorporated or newly trading limited company in Warlingham, we prepare first-year statutory accounts from your accounting records, review the figures with you, and file them with Companies House where required. We also help you work out which reporting framework fits your company — micro-entity, small company or full accounts — based on eligibility for the relevant accounting period. Because the first period is not always a neat twelve months, the period end and filing arrangements depend on your incorporation date and accounting reference date. Corporation Tax is a separate matter: if a CT600 is needed, it goes to HMRC, while the accounts go to Companies House.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Would Your Warlingham Company Qualify?

First-year accounts are the first set of statutory annual accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which usually begins on the incorporation date and ends on the first accounting reference date — often, though not always, the last day of the month in which the company was incorporated, twelve months on. An accounting period can be shortened or extended in certain circumstances, so the exact period should be confirmed for your company rather than assumed. They follow the same principles as later years of accounts; the practical difference is that the first period may be longer or shorter than twelve months. Every limited company is expected to prepare accounts for its accounting period and, where required, deliver them to Companies House. That obligation exists whether the company has been busy, quiet, or has not yet started trading, although the right approach for a company with very limited activity depends on its circumstances rather than an assumption that it is dormant. Some newly incorporated companies are eligible to prepare micro-entity accounts under FRS 105, the financial reporting standard for qualifying entities using the micro-entity framework. Others fall within the small company regime or need accounts prepared on a fuller basis. Eligibility is assessed against the conditions for the relevant accounting period and should not be taken for granted simply because a company is new or has low turnover. First-year statutory accounts are not the same as a Corporation Tax Return: a CT600 is submitted to HMRC where applicable, while statutory accounts are delivered to Companies House where required. A confirmation statement is a third, separate filing that keeps the public register up to date. Well-kept accounting records make all of this smoother — bank transactions, sales and income records, purchase invoices, asset purchases, director transactions, share capital details, and any loans or finance arrangements all feed into the figures.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

They are the first set of statutory annual accounts your company prepares, covering its initial accounting period rather than a calendar year. They set out the company's financial position at the period end, typically through a balance sheet, together with a profit and loss account where applicable, and are delivered to Companies House where required. Unlike later years, the first period can be longer or shorter than twelve months. The directors remain responsible for making sure the accounts are prepared and filed.

It depends on your company's accounting reference date and the end of its first accounting period. A first set of accounts generally benefits from a longer filing window than later years, but the actual deadline is calculated from your company's own incorporation and period dates. If you are unsure of the relevant date, we can help you confirm it for your Warlingham company rather than relying on a general rule of thumb.

Usually the company's bank statements and transactions, sales and income records, purchase invoices and business expenses, details of any assets purchased, share capital information, director loan movements, and any loans or finance agreements. Payroll and VAT records matter where the company has those obligations. If activity has been limited, we still review whatever exists so the accounts reflect the company's actual position.

In most cases, yes, where the company is required to deliver accounts. Incorporation itself brings statutory obligations, and those are not removed simply because trading has not started or activity has been minimal. The preparation and filing position for a company with no significant transactions depends on its circumstances and the applicable rules, so it is worth checking rather than assuming nothing is due.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The figures from the accounts often inform the tax return, and the company's first Corporation Tax accounting period may not line up exactly with its statutory accounts period. The two are separate filings with separate purposes, and completing one does not complete the other.

Some do, but not automatically, and a low turnover figure alone does not settle the question. Micro-entity eligibility depends on meeting the conditions for the relevant accounting period, including size criteria and other requirements. A newly formed company with modest activity may qualify, while another may fall under the small company regime or need fuller accounts. We assess eligibility before deciding which framework applies.

No. A confirmation statement is a separate filing that confirms the company's registered details are up to date, and it is generally required on a recurring basis regardless of whether accounts have been delivered. Keeping Companies House information current is a different task from preparing and filing statutory accounts, and both can apply to the same company.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, which may include penalties that increase as the delay continues. The outcome depends on the circumstances and is not identical in every case. Paying a penalty does not remove the requirement to file the outstanding accounts, so it is usually best to resolve the filing promptly and take advice on whether an appeal is appropriate.
