First Year Accounts for Limited Company in Uttoxeter — Prepared and Filed Correctly

If your company has recently been incorporated, its first set of statutory accounts arrives sooner than many directors expect. Micro Entity Accounts prepares First Year Accounts for Limited Company clients in Uttoxeter, working from your accounting records to produce a balance sheet and, where applicable, a profit and loss account under the reporting framework the company is eligible to use. We review what you already have, point out gaps in the records, and prepare the accounts for delivery to Companies House where required. Where the company also has Corporation Tax obligations, we can help prepare the information needed for a CT600 — a separate submission made to HMRC, not to Companies House. Directors remain responsible for the company’s compliance, but professional preparation takes much of the guesswork out of the first accounting period.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Limited Company in Uttoxeter?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period — the period that begins on the date of incorporation. Any company required to prepare accounts will reach this point, whether or not it has started trading, issued invoices or made a profit. The accounts are prepared for the company, its directors and its members, and are then delivered to Companies House where the company’s filing requirements call for it. They are not the same as a Corporation Tax Return: a CT600 is submitted separately to HMRC, and the two filings have different purposes, different destinations and, in some cases, different accounting periods. A confirmation statement is different again — it confirms the company’s registered details and does not replace the accounts. The first accounting period usually runs from the incorporation date to the company’s first accounting reference date, which is set when the company is formed. Companies House may treat the first period differently from later ones, so the first set of accounts can cover a longer or shorter span than the twelve months that apply afterwards. That is one reason the first filing often catches directors out: the period is not automatically a neat year ending on the date they might assume. The applicable filing deadline follows from the accounting reference date and the rules for first accounts, so it is worth confirming the position for your own company rather than relying on a later year as a guide. Some companies will qualify as micro-entities and be able to prepare simpler accounts under the micro-entity framework, which uses FRS 105 as the financial reporting standard for qualifying entities. Eligibility is assessed against the applicable conditions for the relevant accounting period, and a newly incorporated company is not automatically a micro-entity — nor does a low level of activity on its own settle the question. If the criteria are not met, a small-company or other reporting framework may be more suitable, and determining which one applies is a normal part of preparing first year accounts in Uttoxeter because it affects the format and disclosure of what is filed. Where the company has had little or no activity, the position still needs to be considered rather than assumed. A company with no significant accounting transactions may have a dormant reporting position, but that depends on the specific circumstances and the applicable rules, and not yet trading is not the same as dormant. Directors should also remember that first year accounts sit alongside other obligations: maintaining adequate accounting records, keeping Companies House information up to date, and dealing with Corporation Tax where the company is within the charge to it. Preparing the accounts is one part of the company’s first-year compliance picture, not the whole of it.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Annual Turnover of £1 Million or less. (£632,000 previously)

First Year Accounts for Limited Company in Uttoxeter — Straightforward Preparation and Filing Support

Most directors of newly incorporated companies reach the same sticking point: the records are incomplete, the accounting reference date means little, and it is unclear which reporting framework actually applies. Micro Entity Accounts can take that on — reviewing your accounting records, preparing the statutory accounts, and supporting you with delivery to Companies House where required, with clear pricing and no hidden costs. We will also make clear where a Corporation Tax Return or confirmation statement sits alongside the accounts, so you know what else your company needs to deal with. If your first accounting period is approaching or already under way, it is worth speaking to someone who works with new limited companies every day.

They are the first set of statutory accounts a company prepares, covering the initial accounting period that starts on the date of incorporation. They normally include a balance sheet and, where applicable, a profit and loss account, along with any notes the relevant reporting framework requires. They are prepared for the company, its directors and its members, and are delivered to Companies House where the company's filing requirements call for it. They are separate from a Corporation Tax Return and from a confirmation statement.

The deadline depends on the company's accounting reference date and the rules that apply to a first set of accounts. The first period runs from the date of incorporation and can cover more than twelve months, so it does not always look like a standard year. Because the calculation is company-specific, directors in Uttoxeter should check the dates held at Companies House for their own company, or ask us to confirm the position before the period closes.

Usually the company's accounting records for the period: bank statements and transactions, sales and income records, purchase invoices and expense receipts, details of any assets bought or sold, director loan movements, share capital information, and any loans or finance agreements. Payroll records matter where the company has run a payroll, and VAT records where it is registered. If the company has traded very little, we still work from whatever records exist so the accounts reflect the actual position.

In most cases, yes — a company required to prepare accounts will also have a filing requirement, and having little or no activity does not automatically remove it. Where a company has had no significant accounting transactions, its reporting position needs to be considered on its own facts rather than assumed to be dormant. We can look at the circumstances and explain what is likely to apply.

No. Statutory accounts are delivered to Companies House where required, whereas a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The figures in the accounts often feed into the tax return, but the two are prepared for different purposes and can cover different periods, particularly in the first year. Filing one does not complete the other.

Yes, where one is due. A confirmation statement is a separate filing that confirms the company's registered information, such as its directors, shareholders and registered office, and it does not replace the annual accounts. New companies in Uttoxeter often have both an accounts filing and a confirmation statement to keep on top of in the early months, so it helps to track them as distinct obligations.

It may do, but qualification is not automatic. Micro-entity status depends on meeting the eligibility conditions for the relevant accounting period, and it is not decided simply by being newly incorporated or by having modest income. Where a company does qualify, the micro-entity framework and FRS 105 allow simpler accounts with reduced disclosure. If it does not qualify, a small-company or another framework may be appropriate.

Failing to file by the applicable deadline can lead to consequences from Companies House, which may include a penalty that increases the longer the accounts remain outstanding. The outcome depends on the company's filing history and how late the accounts are, and paying any penalty does not remove the obligation to file. If accounts have been filed late because of circumstances outside the director's control, an appeal may be possible, though eligibility depends on the applicable rules and the specific situation.
