First Year Accounts for Limited Company in Upton — Professional Preparation and Filing Support

A company’s first set of statutory accounts sets the tone for everything that follows, and for directors of newly incorporated limited companies in Upton the first accounting period usually raises practical questions. Which dates should the accounts cover? What figures need to go in? How do the finished accounts reach Companies House? Micro Entity Accounts works through those questions with you from the outset — reviewing your accounting records, preparing the balance sheet and profit and loss account where applicable, and arranging delivery to Companies House where the company is required to file. Where your company also has Corporation Tax obligations, we help you understand how those sit alongside the accounts. A CT600 is submitted to HMRC and is a separate filing from your Companies House accounts, so the two should be planned together but never treated as the same thing. Whether your company is already trading, has only just started, or is still finding its feet, professional support takes the guesswork out of the first-year process.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and How Do They Work in Upton?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. Once a company is incorporated, it has an accounting reference date, and its first accounting period generally runs from the incorporation date to that first reference date — although the exact length and end date depend on the company’s own incorporation date and the applicable Companies House requirements. Some companies end up with a first period longer than twelve months; others do not. The accounts themselves summarise the company’s financial position and performance for that period. Depending on the framework applied, they may include a balance sheet, a profit and loss account and notes, along with the directors’ responsibilities and any other information required by the relevant reporting standard. Accuracy here matters, because the figures are also likely to inform the company’s Corporation Tax position. A company that meets the eligibility criteria for the accounting period in question may be able to report as a micro-entity under FRS 105, the financial reporting standard applicable to qualifying entities using the micro-entity framework. This is a common route for very small companies, but it is not automatic. Eligibility depends on matters such as turnover, balance sheet total and employee numbers for that period, and the correct framework should be confirmed before preparation begins. A company that does not qualify as a micro-entity may still be able to report under the small company regime, or may need a fuller framework instead. Your first year statutory accounts are delivered to Companies House where required. That filing is separate from a Corporation Tax Return such as a CT600, which goes to HMRC where the company has Corporation Tax obligations, and separate again from the confirmation statement, which updates the public register rather than reporting financial results. Directors of new limited companies in Upton often deal with all three in the same period, and each has its own purpose, destination and timing.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

First year accounts are the company's first set of annual statutory accounts, covering the initial accounting period from the incorporation date to the first accounting reference date. They summarise the company's financial position and performance for that period and are usually prepared in the format required by the applicable reporting framework. For a company incorporated recently in Upton, this is the first set of accounts it will need to prepare.

There is no single deadline that applies to every company. The due date depends on the incorporation date, the accounting reference date and the applicable Companies House filing requirements, and the rules for first accounts can differ from those for later years. Rather than assuming a date, it is worth confirming the position for your own company early so the accounts can be prepared in good time.

It depends on what the company has done. Typically we would look at bank transactions, sales and income records, business expenses, purchase invoices, asset purchases, share capital information, director transactions or loans, and payroll or VAT records where those apply. If some of these do not exist because the company has been quiet, that is fine — we work with what is relevant to your circumstances. Well-kept accounting records make preparation quicker and reduce the chance of queries later.

In most cases, yes. A limited company generally has to file annual accounts with Companies House once incorporated, even where activity has been limited, and being newly incorporated does not remove that obligation. Filing accounts does not replace other duties either, such as keeping company information up to date and submitting a confirmation statement, which is a separate filing.

No. Statutory accounts are prepared for the company's members and filed with Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC where the company has Corporation Tax obligations. Figures from the accounts often feed into the tax return, but they are separate documents with separate purposes, destinations and timing. Completing one does not complete the other, and the company's first Corporation Tax accounting period may not match its statutory accounts period.

A company can still have filing obligations even where it has had little or no activity, or has not yet begun trading. Whether it can be treated as dormant depends on the specific circumstances and the applicable rules, so it is worth checking rather than assuming nothing needs to be filed. Where there have been no significant transactions the accounts may be short, but the requirement itself may still apply.

It can, if it meets the eligibility conditions for micro-entity reporting in the relevant accounting period. Those conditions relate to matters such as turnover, balance sheet total and average number of employees. Being new or small does not automatically make a company a micro-entity, and FRS 105 applies only to entities that qualify. Where a company does not qualify, the small company regime or a fuller framework may be the appropriate route.

Failing to file required accounts by the applicable deadline can lead to Companies House consequences, which may include financial penalties that increase the longer the accounts remain outstanding, although individual cases are not all treated the same. Paying a penalty does not remove the need to file the outstanding accounts, and appeal options depend on the circumstances and the applicable rules. If you are worried about an overdue filing for an Upton company, it is best to seek advice promptly.
