What Are First Year Accounts for a Micro Company?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. That period generally begins on the date of incorporation and ends on the company’s first accounting reference date, which is why it does not always cover a neat twelve months. The accounts themselves are prepared from the company’s accounting records and typically include a balance sheet showing assets, liabilities and shareholders’ funds, along with a profit and loss account where the applicable framework requires one. In most cases, first year statutory accounts must be filed with Companies House, although the date by which they are due depends on the company’s incorporation date, its accounting reference date and the applicable filing requirements. Some companies refer to these as micro company accounts, but the two things are not interchangeable. A company may be able to prepare and file under the micro-entity framework if it meets the eligibility conditions for the accounting period in question; that is a separate assessment, not an automatic entitlement for every new company. Where an entity qualifies, FRS 105 is the financial reporting standard that applies to the micro-entity accounting framework, and it permits a simplified format. Whether it is the right route for a particular company depends on its turnover, balance sheet position, employee numbers and the rules in force for that period. It depends on the company. The first accounting period is set by reference to the incorporation date and the accounting reference date, and the deadline for delivering accounts to Companies House follows from that period and the applicable filing rules. This is why two companies incorporated a week apart can have different due dates. We review your specific dates before anything is submitted.

In most cases we would look at bank statements and transactions, sales and income records, purchase invoices and business expenses, details of any assets bought, share capital information, director's loan movements and any finance or loan agreements. Where the company runs payroll or is VAT registered, the related records are relevant too. You will not necessarily have all of these, and we only ask for what applies to your circumstances.

In most cases, yes. A limited company is generally required to prepare and deliver statutory accounts for its accounting periods, including its first one, even where activity has been limited. Having little or no activity does not automatically remove the obligation to deal with statutory accounts.
