First Year Accounts for Limited Company in Ulverston — Prepared, Reviewed and Filed

Incorporating a company is only the start of the compliance story. Once your limited company exists, its first accounting period begins, and with it the need to prepare a first set of statutory accounts. Micro Entity Accounts supports directors of newly incorporated and newly trading companies in Ulverston through that process — gathering and reviewing the accounting records, preparing the first-year statutory accounts, and delivering them to Companies House where required. Where Corporation Tax applies, we can also help you see how a CT600 return fits alongside the accounts; that is a separate submission to HMRC with its own rules and timing. Whether your company has been actively trading, has invoiced only a little, or has barely moved since incorporation, the right next step is a straightforward conversation about what your first period looks like and what needs to be done.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company — and Does Your Ulverston Company Qualify?

First-year accounts are simply the first set of annual statutory accounts a limited company prepares for its initial accounting period. Every UK company has an accounting reference date, and the first accounting period usually runs from the date of incorporation to that reference date — although the exact length and end date depend on when the company was formed and on the applicable Companies House requirements. It is that first period the accounts must cover. These accounts are not optional just because the company is new. A limited company is generally expected to prepare accounts for its first period and to file them with Companies House where required, even where trading has been limited or has not yet begun. A company in that position is not automatically dormant in the statutory sense; its reporting position depends on its own circumstances and the applicable rules, which is why it is worth taking advice rather than assuming a dormant filing applies. Where a company meets the eligibility conditions for the relevant accounting period, it may be able to use the micro-entity framework and prepare simpler accounts under FRS 105, the financial reporting standard that applies to qualifying micro-entities. Eligibility is not automatic and should be checked rather than assumed, since a new or small company does not always fall within the micro-entity regime. Some companies instead report as small companies, and others need fuller reporting. It also helps to keep three obligations clearly apart. First-year statutory accounts are delivered to Companies House. A Corporation Tax Return, such as a CT600, is submitted to HMRC where the company has Corporation Tax obligations, and the company’s first Corporation Tax accounting period may not match its statutory accounts period exactly. A confirmation statement is a third, separate filing that confirms the company’s registered details are correct. Completing one does not satisfy the others.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

They are the first set of annual statutory accounts your company prepares for its initial accounting period, normally covering the period from incorporation to the company's first accounting reference date. They usually include a balance sheet and, where applicable, a profit and loss account, together with any notes required by the reporting framework the company uses. For a director in Ulverston running a newly formed company, this first set effectively sets the baseline for every set of accounts that follows.

There is no single answer that applies to every company. The deadline depends on your incorporation date and accounting reference date. Companies House generally allows a longer period for a company's first accounts than for later accounting periods, but the exact date should be confirmed from your own company records and Companies House information. If you are unsure, check it early rather than in the week it falls due.

It depends on what the company has actually done. Typically we would look at bank statements and transactions, sales and income records, purchase invoices and expense receipts, any asset purchases, director's loan movements, share capital details, and loan or finance agreements. Where the company employs staff, payroll records are relevant, and VAT records matter where the company is VAT registered. Not every company will have all of these — we work with what applies to your circumstances.

In most cases, yes — statutory accounts must be delivered to Companies House where required, and that obligation is not removed simply because trading has been limited or has not yet started. Companies House does not prepare the accounts and does not approve them; it receives and registers them. Whether a company can file on a dormant basis depends on its specific circumstances and the applicable rules, so take advice before assuming that route is open to you.

No, they are separate obligations. Statutory accounts are prepared for the company and delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. Filing one does not complete the other. Information from the accounts often feeds into the tax return, and your first Corporation Tax accounting period may not line up exactly with your statutory accounts period.

Some do. Where a company meets the applicable eligibility criteria for the relevant accounting period, it may be able to prepare micro-entity accounts under FRS 105, which can simplify the balance sheet and reduce the notes required. It is not automatic, though — neither a recent incorporation date nor a low turnover figure guarantees eligibility, and the correct framework is confirmed by reviewing the company's circumstances. We can check this as part of preparing your accounts.

No. The confirmation statement is a separate filing that confirms your company's registered details — such as directors, shareholders and registered office — are up to date. It does not replace statutory accounts, and filing accounts does not remove the need to keep your Companies House information current. These are two distinct obligations and each needs to be dealt with in its own right.

If accounts required by Companies House are filed after the applicable deadline, late filing consequences can follow, and the outcome can vary depending on how late the accounts are and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts. Where an appeal is considered, eligibility depends on the circumstances and the applicable rules. The practical point is to act as soon as you realise a deadline may be at risk.
