What Are First Year Accounts for a Micro Company, and Does Your Ullapool Company Qualify?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period begins when the company is incorporated and ends on its first accounting reference date, which is set when the company is formed. Because incorporation can happen at any point in the year, a first accounting period is often longer or shorter than the twelve months a director might expect, so the dates on the company’s own Companies House record are what matter rather than a general assumption. Preparing the accounts means turning the company’s accounting records into a formal set of figures, typically a balance sheet and, where applicable, a profit and loss account, together with any notes the chosen reporting framework requires. Those accounts are then delivered to Companies House where required. A company may still have filing obligations even where activity has been limited or trading has not yet begun, so incorporation alone is not a reason to set the accounts aside. Where a company has had no significant accounting transactions, its reporting position depends on its specific circumstances and the applicable rules, and it should not simply be assumed to be dormant. Some companies qualify to report under the micro-entity framework, described in FRS 105, which allows a simplified set of accounts for entities that meet the relevant eligibility conditions for the accounting period. Because first accounting periods are frequently longer than twelve months, it is worth confirming the dates early rather than working from an assumption.

It depends what the company has actually done during the period. In most cases this means bank transactions and statements, sales and income records, business expenses and purchase invoices, details of any assets bought, director transactions and loans, share capital information, and any payroll or VAT records if the company is registered for those. You should not assume you need everything on that list — only the records relevant to your circumstances.
