First Year Accounts for Limited Company in Towcester, Prepared and Filed With Confidence

Your company’s first set of statutory accounts is a milestone, and it is worth getting right from the outset. Micro Entity Accounts supports newly incorporated and newly trading limited companies in Towcester with preparing their first year accounts for limited company purposes — reviewing your accounting records, drafting the balance sheet and, where applicable, the profit and loss account, and helping to deliver the accounts to Companies House where required. We will also explain how the first accounting period works, which reporting framework may suit your circumstances, and how the accounts filing sits alongside other obligations. Corporation Tax is a separate matter handled with HMRC, so where a CT600 or other Corporation Tax Return is needed, that is dealt with distinctly from the Companies House filing.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period usually begins on the date of incorporation and ends on the company’s first accounting reference date, although the exact period depends on the incorporation date and the accounting reference date recorded at Companies House. Preparing these accounts is not optional simply because the company is new: a limited company generally has statutory accounts and filing obligations even where trading has been limited or has not yet begun, and the reporting position depends on the company’s specific circumstances rather than an automatic assumption that it is dormant. The accounts themselves are built from the company’s accounting records — bank transactions, sales and income records, purchase invoices, expenses, asset purchases, share capital details, director transactions and any loans or finance arrangements, plus payroll or VAT records where those are relevant. From those records we prepare a balance sheet and, where applicable, a profit and loss account, together with the supporting notes and disclosures required by the applicable framework. Directors remain responsible for the accuracy of the company’s records and for ensuring its statutory obligations are met, even when an accountant is engaged to assist with preparation and filing. Some newly incorporated companies qualify for the micro-entity accounting framework, which is set out in FRS 105, the financial reporting standard applicable to qualifying entities using that framework. Eligibility depends on meeting the applicable size criteria for the relevant accounting period and is not automatic — a low turnover figure alone does not confirm micro-entity status, and neither does being a startup. We assess the position based on your company’s actual circumstances before deciding which framework applies. It also helps to separate the different filings a company may face. First-year statutory accounts are prepared in line with the applicable reporting framework and delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted separately to HMRC where the company has Corporation Tax obligations, and the two have different purposes and destinations. A confirmation statement is a further, separate filing that keeps the company’s registered information up to date with Companies House. Completing one does not complete the others. For directors in Towcester, understanding these distinctions early makes the second year considerably easier to manage.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Annual Turnover of £1 Million or less. (£632,000 previously)

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They typically cover the period from the date of incorporation to the company's first accounting reference date, and they normally include a balance sheet, along with a profit and loss account and supporting notes where the applicable reporting framework requires them. They are prepared from the company's accounting records and are delivered to Companies House where required.

The due date depends on the company's incorporation date and its accounting reference date, together with the applicable Companies House filing requirements — it is not the same for every company. Because the first accounting period can be longer or shorter than a standard twelve-month period, the deadline is best confirmed by checking the company's own Companies House record rather than assuming a fixed timescale. We can review your dates and confirm when your accounts are expected to be filed.

It depends on what the company has actually done, but commonly needed records include bank statements and transaction listings, sales and income records, purchase invoices and expense receipts, details of any assets purchased, share capital information, director loans or transactions, and any loans or finance agreements. Payroll records and VAT records may also be relevant where the company has those obligations. If some records are incomplete, we can help you work out what is available and what still needs to be put in place.

No. Statutory accounts are prepared under the applicable accounting framework and delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted separately to HMRC where the company has Corporation Tax obligations. The figures in the accounts are often used as a starting point when working out the Corporation Tax position, but the two filings serve different purposes and go to different destinations. Filing one does not complete the other, and a company's first Corporation Tax accounting period may not necessarily match its statutory accounts period.

In many cases a company still has statutory filing obligations even where activity has been limited or trading has not yet begun, so it is not safe to assume nothing needs to be filed. Whether the company is treated as dormant for reporting purposes depends on its particular circumstances and the applicable rules, and that position should be assessed carefully rather than assumed. Directors in Towcester with a newly incorporated company that has been quiet should check the position rather than let filings slip.

Some newly incorporated companies do qualify for simplified reporting as micro-entities, but it is not automatic and not every startup or small company will meet the eligibility requirements for the relevant accounting period. Micro-entity accounts are prepared under FRS 105, the financial reporting standard applicable to qualifying entities using that framework. Whether that framework is appropriate for your company depends on your figures and circumstances, and we assess that before preparing anything.

No. A confirmation statement is a separate filing that keeps the company's registered details up to date at Companies House, and it is not replaced by filing statutory accounts. A limited company may still need to submit confirmation statements and ensure its Companies House information is accurate, independently of its accounts obligations. Filing first-year accounts also does not discharge any Corporation Tax, VAT or payroll responsibilities the company may have.

Failing to file required accounts by the applicable deadline can result in consequences from Companies House, which can vary depending on how late the filing is and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts, so the accounts still need to be completed and submitted. If your first-year accounts are already overdue, it is worth speaking to an accountant promptly so the position can be reviewed and the filing progressed, and any appeal eligibility can be considered against the applicable rules.
