What Are First Year Accounts for a Micro Company?

First-year accounts are the first set of statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which generally runs from the date of incorporation to the first accounting reference date, although the exact period depends on the company’s own dates and circumstances. That first period is often longer than twelve months, so it should not be assumed that the first accounts will be a straightforward copy of a routine annual set. Because these are statutory accounts, they need to be prepared under the applicable reporting framework and delivered to Companies House where required. The framework itself is determined by eligibility. A company may be able to use the micro-entity framework, and therefore FRS 105, only where it meets the relevant eligibility conditions for the accounting period concerned. Some newly incorporated companies will qualify; others will not, and some will fall under the small-company framework instead. Whether your company is based in Tonypandy or elsewhere, the position should be confirmed from its own figures rather than assumed from the fact that it is new. In practical terms, first-year accounts usually include a balance sheet, a profit and loss account where applicable, and supporting notes. Preparing them is not optional simply because the company is new.

The due date depends on the company's incorporation date, its accounting reference date and the applicable Companies House filing requirements, and it is not the same for every company. It is worth checking the dates recorded at Companies House rather than working from a general rule, because a company's first accounting period can be longer than twelve months. We confirm the relevant dates from the company's own records before anything is filed.

It depends on what the company has done during the period. Typical items include bank statements and transactions, sales and income records, purchase invoices and expense receipts, details of any assets bought, share capital information, director transactions or loans, and payroll or VAT records where those apply. Some companies will have very little to provide, and others will have more. We will tell you what is relevant to your circumstances.

In most cases, yes — statutory accounts must be delivered to Companies House where required, and a recently incorporated company generally cannot disregard that obligation just because it has had limited activity. Companies House receives and registers the accounts; it does not prepare them and does not approve them. If your company has had no significant accounting transactions, its reporting position depends on the applicable rules and its circumstances rather than being automatically treated as dormant.

No. They are separate filings with separate purposes and separate destinations. Statutory accounts go to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Information from the accounts may well be used when working out the company's Corporation Tax position, but filing one does not complete the other, and the company's first Corporation Tax accounting period may not be identical to its statutory accounts period.

Some newly incorporated companies will qualify for the micro-entity framework, and FRS 105 applies to qualifying entities using it, but eligibility is not automatic. It depends on whether the company meets the applicable conditions for the accounting period in question. A company that does not qualify will report under another framework, such as the small-company regime. Directors in Tonypandy and elsewhere should have this confirmed from their own figures before accounts are drafted.

No. A confirmation statement is a separate Companies House filing that confirms the company's registered details are up to date, and it is not submitted in place of statutory accounts. A company may need to file both during the same period, along with any other returns that apply to it.
