What Are First Year Accounts for a Micro Company, and Does the Micro-Entity Framework Apply?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are a formal record of the company’s financial position at the end of that period, normally comprising a balance sheet and, depending on the reporting framework used, a profit and loss account, together with any notes required. They are not optional simply because the company is newly formed, and a company that has had limited or no trading activity may still have statutory reporting obligations to consider. When a company is incorporated, Companies House sets an accounting reference date. As a general rule the first accounting reference date falls at the end of the month in which the first anniversary of incorporation occurs, though this can be adjusted in certain circumstances. That date shapes the first accounting period and, in turn, the deadline for delivering the first accounts. The first-year filing deadline is usually longer than the deadline that applies to later accounting periods, but the exact date depends on the company’s incorporation date, its accounting reference date and the applicable Companies House requirements — so it is always worth checking the company record rather than assuming. A company may be able to use the micro-entity accounting framework if it meets the eligibility conditions for the accounting period in question, and FRS 105 is the financial reporting standard that applies to qualifying entities reporting under that framework. Not every newly incorporated company qualifies, and a low turnover figure alone does not automatically mean micro-entity treatment is available. The deadline depends on the company's incorporation date and its accounting reference date rather than a single date that applies to every company. Companies House sets the first accounting reference date when a company is incorporated, and the filing deadline for a first set of accounts is generally longer than for later periods. The safest approach is to check the company's own record on the Companies House register, or ask an accountant to confirm the date that applies to your company.

It depends on what the company has actually done. Typical records include bank statements and transactions, sales and income records, purchase invoices and business expenses, asset purchases, details of any loans or finance, share capital information and director transactions. Where a company runs payroll or is VAT registered, the related records may also be relevant. Not every company will have all of these — a company with very little activity may need far less.

In most cases, yes — a limited company is generally expected to prepare and deliver statutory accounts for its first accounting period. Very limited activity, or none at all, does not automatically remove that obligation, although the reporting position does depend on the company's circumstances and the applicable rules. Whether a company is properly described as dormant is a separate question from whether accounts are due.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The two filings serve different purposes and go to different bodies, and completing one does not complete the other. The accounting figures may inform the Corporation Tax position, and a company's first Corporation Tax accounting period does not always match its statutory accounts period.

Some newly incorporated companies may qualify for the micro-entity framework if they meet the eligibility conditions for the relevant accounting period, and FRS 105 is the standard that applies to qualifying entities reporting on that basis. Qualification is not automatic, and not every company with modest income will qualify. Small-company reporting may be more appropriate in some circumstances, so eligibility should be assessed against the company's own position before the accounts are prepared.

They are separate obligations. A confirmation statement confirms that the information Companies House holds about the company — such as directors, shareholders and registered office details — is up to date. Filing first year accounts does not replace it, and the confirmation statement does not discharge the accounts filing requirement. A limited company may need to keep both up to date.

Missing the applicable filing deadline can lead to consequences from Companies House, and the outcome is not necessarily the same in every case. Paying any penalty does not remove the requirement to file the outstanding accounts. If accounts are already overdue, or there is a reason you believe may be relevant to an appeal, it is worth speaking to an accountant early, as eligibility for an appeal depends on the circumstances and the applicable rules.
