First Year Accounts for Limited Company in Thirsk, Prepared and Filed With Professional Support

A newly incorporated limited company takes on statutory reporting duties from day one, and the first set of accounts is often the part directors in Thirsk have the least experience of. Micro Entity Accounts supports newly incorporated and newly trading companies with the preparation of their first statutory accounts, a review of the accounting records behind them and delivery to Companies House where required. Just as importantly, we help you understand how the pieces fit together: the accounting reference date that shapes your first accounting period, whether the micro-entity framework may be suitable for your circumstances, and how Corporation Tax sits separately as an HMRC matter, usually dealt with through a CT600. Whether your company has been actively trading, has had limited activity or is still finding its feet, we can explain what applies to you and prepare the figures properly.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

I had a positive experience with Accotax. The work was completed promptly, my tax return was successfully filed, and I received a refund of overpaid tax. I found the cooperation efficient and helpful. Special thanks to Muhammad Saifullah for his assistance.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and When Do They Apply?

First-year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and runs to the company’s first accounting reference date, which Companies House sets when the company is registered. Because the first period can be longer or shorter than a typical twelve months, the figures in your first accounts may cover a different span of time than later years. Directors sometimes assume nothing is due until the company has been running for a full year, but a newly incorporated company generally has accounts obligations from the outset, and the applicable dates flow from the incorporation date and accounting reference date rather than from how busy the business has been. The purpose of these accounts is to report the company’s financial position and performance for that initial period. Depending on the framework used, that typically means a balance sheet, and a profit and loss account where applicable, together with any notes and statements required by the relevant rules. The accounts are generally delivered to Companies House where required. This is a separate process from the company’s Corporation Tax position: a limited company may also need to prepare and submit a Corporation Tax Return, such as a CT600, to HMRC, even though the accounts and the tax return often draw on the same underlying records. The company’s first Corporation Tax accounting period and its statutory accounts period do not always run to exactly the same dates, so it is worth checking both. A confirmation statement is a third, separate obligation, confirming that the information Companies House holds about the company remains accurate, and it is not replaced by filing accounts. Some newly incorporated companies may be eligible to prepare accounts under the micro-entity framework, which is a simplified reporting regime, with FRS 105 being the financial reporting standard applicable to qualifying entities using that framework. Eligibility is not automatic. It depends on meeting the applicable criteria for the relevant accounting period and on the company’s particular circumstances, and a small company framework may be more appropriate in other cases. In Thirsk, as elsewhere, the right starting point is a straightforward review of the company’s position, its records and the reporting framework that fits, followed by preparation of the accounts and filing with Companies House where required.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Micro Entity Accounts works with directors of newly incorporated and newly trading limited companies in Thirsk to prepare first-year accounts from properly organised records, review the figures with you and file with Companies House where required, while keeping the separate Corporation Tax position clearly in view. They are the first set of statutory accounts a limited company prepares, covering its initial accounting period. That period usually starts on the incorporation date and ends on the company's first accounting reference date, so it may be longer or shorter than twelve months. The accounts normally include a balance sheet, a profit and loss account where applicable, and any notes or statements required under the reporting framework the company uses.

The due date depends on your company's incorporation date and its accounting reference date, together with the applicable Companies House filing requirements. There is no single deadline that applies to every new company, so it is worth confirming your company's specific dates early. We can check the position for your company and explain which period the first accounts cover and when they need to be delivered.

It depends on what the company has done since incorporation, but typical items include bank statements and transactions, sales or income records, purchase invoices and business expenses, details of any assets purchased, share capital information, director transactions and any loans or finance arrangements. Where the company runs payroll or is VAT registered, those records may also be relevant. If your company has had little activity, we will tell you what is still needed rather than assume a standard pack applies.

In most cases a limited company must deliver statutory accounts to Companies House for its first accounting period where required. Preparing and filing accounts is a separate obligation from the confirmation statement, which confirms the information on the public register and is not replaced by filing accounts. It is also separate from anything submitted to HMRC. If your company has had limited activity or has not yet started trading, its reporting position still depends on its circumstances and the applicable rules.

No. Statutory accounts go to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. They serve different purposes and go to different places, although the accounting information behind the accounts is often used when working out the company's Corporation Tax position. Filing one does not complete the other, and the company's first Corporation Tax accounting period may not match its statutory accounts period exactly.

A company may still have statutory filing obligations even where it has had limited activity or has not yet commenced trading. Whether a company is treated as dormant depends on its circumstances and the applicable rules, so it is not something to assume either way. Preparing or filing first-year accounts does not, on its own, settle the company's Corporation Tax, confirmation statement or other compliance obligations.

Some newly incorporated companies may qualify for the micro-entity framework if they meet the applicable eligibility requirements for the relevant accounting period, but it is not automatic and not every small or new company qualifies. FRS 105 is the financial reporting standard applicable to qualifying entities preparing micro-entity accounts. We review eligibility and the company's circumstances before deciding which framework to use, and a small company framework may suit some businesses better.

Failing to deliver required accounts by the applicable deadline can result in Companies House consequences, and paying any penalty does not remove the requirement to file the outstanding accounts. Consequences are not identical in every case, and whether an appeal against a late filing penalty is possible depends on the circumstances and the applicable rules. If your first accounts are overdue, the practical step is to get the figures prepared and filed as soon as they can be, and we can help with that process for companies in Thirsk and elsewhere.
