What Are First Year Accounts, and When Might Micro-Entity Reporting Apply?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional, and they do not disappear because the company is new, has traded only lightly, or has had very little activity since incorporation. When a company is registered at Companies House, an accounting reference date is set for it. The first accounting period normally runs from the incorporation date to that first accounting reference date, which means the opening period can be slightly longer or shorter than the twelve-month periods that follow. For directors of newly incorporated companies in Theale, that detail matters, because the length of the first period affects what the accounts cover and when they are likely to be due. The accounts generally include a balance sheet and, where the applicable framework requires it, a profit and loss account, along with the notes and any statement the chosen framework calls for. Depending on the framework that applies to the company, the accounts will typically include a balance sheet and, where required, a profit and loss account, plus the notes and any directors' statement that framework calls for. Once the directors approve the accounts, they are filed with Companies House where required.

There is no single answer that fits every company. The due date depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements, so a first period that ran longer or shorter than twelve months will have its own filing deadline. HMRC deadlines for Corporation Tax are separate and can differ from the Companies House accounts deadline. If you tell us your company's incorporation date, we can confirm the position for your specific circumstances rather than applying a general rule.

It depends on what the company has been doing since incorporation. In most cases we would look at bank transactions and statements, sales and income records, purchase invoices and business expenses, asset purchases, share capital details, director transactions and any loans or finance arrangements. Where relevant, payroll records and VAT records also help to complete the picture. Not every company will have all of these, and a company that has not yet started trading will usually have far less to provide. If records are patchy, we can work through what exists and identify the gaps.

A newly incorporated company still has statutory accounts obligations, and first year accounts are generally filed with Companies House where required. That remains the case even where the company has had limited activity or has not yet commenced trading. Whether a company is treated as dormant for filing purposes depends on its actual circumstances and the applicable rules rather than on an assumption, so it is worth checking the position rather than deciding the company has nothing to file. Preparing and filing accounts is also not the same as settling the company's Corporation Tax position with HMRC.

Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The figures in the accounts often feed into the Corporation Tax preparation, but filing one does not complete the other, and the company's first Corporation Tax accounting period may not match its statutory accounts period. Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, and those consequences can vary depending on how late the filing is and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts, so the overdue filing still needs to be completed. Appeal options depend on the circumstances and the applicable rules. If your first year accounts have slipped past the deadline, the practical step is to get the accounts prepared and filed as soon as possible and to understand what is likely to follow.
