What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in Thames

First year accounts are the first set of annual statutory accounts a limited company prepares after it is incorporated. They cover the company’s initial accounting period, which normally starts on the date of incorporation and ends on the company’s first accounting reference date. Companies House sets that reference date when the company is formed, and the first period can therefore run for a little longer than a standard twelve-month year, although it can also be shortened in some circumstances. The accounts typically include a balance sheet and, where applicable, a profit and loss account, prepared under the reporting framework the company is eligible to use.

There is no single deadline that applies to every company. Your due date depends on your incorporation date, your first accounting reference date and the type of company you have. First accounts are usually measured from the incorporation date rather than from the accounting reference date, so the first filing window can be longer than the ones that apply in later years. The reliable way to check is to look at the dates recorded for your own company at Companies House, and we can confirm what those dates mean for your filing.

It depends on what the company has done during the period. Typically we would look at bank transactions, sales and income records, business expenses and purchase invoices, any asset purchases, director transactions and loans, share capital details, and payroll or VAT records where those apply. Not every company will have all of these. If the company has been largely inactive, we will work with whatever records exist and explain what still needs to be reflected in the accounts.

In most cases a company still has statutory accounts obligations, and filing with Companies House is generally required where the applicable rules say so. Having had limited or no activity does not automatically mean the accounts can be ignored. Where a company has had no significant accounting transactions, the correct reporting position depends on its circumstances and the relevant rules rather than being assumed to be dormant. Directors remain responsible for making sure the company meets its obligations.

No. First year statutory accounts are prepared for the company and delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted separately to HMRC and serves a different purpose. Information from the accounts is often used when working out the company's Corporation Tax position, but filing one does not complete the other, and the company's first Corporation Tax accounting period may not be identical to its statutory accounts period.

Filing first-year accounts also does not settle any VAT, payroll or Corporation Tax obligations the company may have.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome is not the same in every case. Penalties can apply, and paying a penalty does not remove the requirement to file the outstanding accounts. If accounts are already overdue, the priority is to get the position resolved and the accounts submitted.
