What Are First Year Accounts for a Micro Company — and Does Your Tadcaster Company Qualify?

First year accounts are the first set of annual statutory accounts a limited company prepares after incorporation. The first accounting period starts on the date of incorporation and ends on the company's first accounting reference date, which Companies House sets when the company is registered. For a new private company this date generally falls at the end of the month marking the first anniversary of incorporation, but it is worth checking the date shown for your own company. The deadline for delivering the first accounts is set by reference to that date and to the incorporation date, and it is often different from the deadline that applies in later years. Rather than relying on a rule of thumb, confirm the specific dates attached to your company and plan backwards from them.

It depends on what the company has done during the period, but the starting point is a complete set of accounting records. That can include bank statements and transaction listings, sales and income records, purchase invoices and expense receipts, details of assets bought or sold, director's loan movements, share capital information, and any loans or finance agreements. Where the company operates payroll or is VAT registered, the relevant payroll or VAT records may also be needed. If activity has been limited, the records are usually much shorter, and we can confirm what is required once we understand your company's position.

Where a company is required to file accounts, that obligation applies whether or not the company has started trading. Companies House does not prepare the accounts and does not approve them; its role is to receive them onto the public register. If a company has had limited activity, or no significant accounting transactions, its reporting position still needs to be considered on its own facts — a quiet year does not automatically mean the company is dormant for filing purposes. Directors should check the position before assuming that nothing needs to be filed.
