First Year Accounts for Limited Company in Sutton — Prepared and Filed the Right Way

The first set of statutory accounts is a defining piece of admin for any newly incorporated company, and it is often the point where directors in Sutton realise the numbers need to be right before anything is filed. Micro Entity Accounts supports limited companies through that first accounting period: reviewing the accounting records you hold, preparing a balance sheet and, where relevant, a profit and loss account, and delivering the statutory accounts to Companies House where required. We also help you understand how that filing sits alongside your separate obligations, including a Corporation Tax Return such as a CT600, which is submitted to HMRC rather than Companies House. Whether your company has traded fully, partially or not at all, the aim is straightforward, accurate first-year accounts and a clear view of what still needs to be done.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

I had a positive experience with Accotax. The work was completed promptly, my tax return was successfully filed, and I received a refund of overpaid tax. I found the cooperation efficient and helpful. Special thanks to Muhammad Saifullah for his assistance.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period usually begins on the date of incorporation and runs to the company’s first accounting reference date, although the exact period and the resulting Companies House filing deadline depend on the incorporation date, the accounting reference date and the applicable filing requirements — so they are not identical for every company. The accounts summarise the company’s financial position for that period, typically through a balance sheet and, where the reporting framework and circumstances require it, a profit and loss account, together with any notes and the required statements. Directors remain responsible for keeping adequate accounting records and for ensuring the company meets its statutory obligations, even where an accountant prepares or submits the accounts on the company’s behalf. A newly incorporated company in Sutton may also qualify for the micro-entity framework if it meets the eligibility conditions for the relevant accounting period; FRS 105 is the financial reporting standard that applies to qualifying entities reporting under that framework. Eligibility is not automatic, and a company with modest activity does not necessarily fall within it, so the appropriate framework should be assessed against the company’s circumstances before preparation begins. It is worth separating first-year statutory accounts from the other filings a company may face. The accounts are delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is prepared for HMRC and is a separate submission with its own purpose and destination, and the company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. A confirmation statement is also a separate filing that keeps Companies House informed about the company’s officers, share capital and registered details. Filing first-year accounts does not, by itself, complete any of those other obligations.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

Get Your First Year Accounts for Limited Company in Sutton Prepared Properly

Most directors approaching their first year end have the same questions: have I kept the right records, which reporting framework applies, and what actually needs to go to Companies House? Micro Entity Accounts works with newly incorporated and newly trading limited companies in Sutton to answer those questions practically rather than theoretically — reviewing your accounting records, preparing the statutory accounts and supporting the Companies House filing where required, with clear pricing and no hidden costs. If your company’s position is more unusual, perhaps limited activity, director loans, asset purchases or a first Corporation Tax Return alongside the accounts, we can help you identify what is relevant before deadlines matter. Getting in touch early, while the records are still fresh, is usually the simplest way to keep your first year of compliance on track.

They are the first set of annual statutory accounts a company prepares, covering its initial accounting period. That period normally starts on the date of incorporation and ends on the company's first accounting reference date, though this can vary depending on the incorporation date and the accounting reference date assigned. The accounts usually include a balance sheet, and a profit and loss account where the applicable reporting framework and the company's circumstances require one, along with any necessary notes and statutory statements. They are prepared for the company's own filing obligations and delivered to Companies House where required.

The deadline depends on the company's accounting reference date and how its first accounting period falls, not on a single rule that applies to every new company. Companies House applies specific rules to first accounts, and those rules can result in a first filing period that differs from later years. Rather than relying on a general assumption, it is worth confirming the position for your own company, based on its incorporation date and accounting reference date, before the period end approaches. We can help you establish what applies to your company and plan the preparation work around it.

It depends on what the company has actually done during the period, but typical information includes bank statements and transaction records, sales invoices or income records, purchase invoices and business expenses, details of any assets purchased, share capital information, director loans or other transactions with directors, finance agreements and, where applicable, payroll and VAT records. Companies that have traded very little will have far less to provide. The starting point is a clear picture of the company's bank activity and any income, costs or balances, and we will tell you what is relevant once we understand your circumstances.

A limited company generally has to file statutory accounts with Companies House where required, and that obligation is not removed by the company being new or having had limited activity. The first set of accounts is usually prepared for the initial accounting period and delivered to Companies House in line with the applicable requirements. Filing accounts with Companies House is not the same as submitting a Corporation Tax Return to HMRC, which is a separate submission, and it also does not replace a confirmation statement or any VAT or payroll obligations the company may have.

No. First-year statutory accounts are prepared for the company and filed with Companies House where required, while a CT600 is a Corporation Tax Return submitted to HMRC where the company has a Corporation Tax obligation. The two are separate filings with separate purposes. Accounting information from the accounts is often used when working out the company's Corporation Tax position, but filing one does not complete the other, and the company's first Corporation Tax accounting period may not necessarily match its statutory accounts period.

A company that has not started trading may still have statutory filing obligations, so the answer depends on the company's circumstances and the applicable rules rather than on activity levels alone. Having no significant accounting transactions does not automatically mean the company is dormant for filing purposes, and dormancy is a specific position with its own conditions. We can review what the company has and has not done during the period and explain which filings are likely to apply before anything is submitted.

Some newly incorporated companies do qualify for the micro-entity framework, and where they do, FRS 105 is the financial reporting standard that applies to qualifying entities reporting under it. Qualification depends on meeting the applicable eligibility requirements for the relevant accounting period, so it is not automatic for every startup, every company with low turnover or every new incorporation. Where a company does not qualify, a small-company framework or full reporting may be appropriate instead. We assess eligibility against your company's actual circumstances before deciding how the accounts should be prepared.

Failing to deliver required accounts by the applicable deadline can lead to Companies House consequences, which vary depending on how late the filing is and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts, and the accounts still need to be delivered. If a company believes it has a valid reason for late filing, appeal eligibility depends on the circumstances and the applicable rules. Getting accounts prepared early reduces the risk of running into these issues at all.
