What Are First Year Accounts, and Does the Micro-Entity Framework Apply to Your Company?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period, and they are not optional simply because the company is new. Every limited company has an accounting reference date, and its first accounting period normally begins on the date of incorporation and runs to that first accounting reference date. After that, the company settles into a reporting cycle, with accounts prepared for each subsequent period. What varies is the length of that first period and the filing deadline attached to it, which is why the incorporation date and accounting reference date matter so much. The accounts give a formal picture of the company’s financial position and performance for the period. Depending on the company’s size and circumstances, that generally means a balance sheet and a profit and loss account where applicable, together with the notes and disclosures required under the reporting framework being used. The directors remain responsible for the accounts and for making sure the company meets its statutory obligations, even where an accountant prepares or files them. The completed accounts are then delivered to Companies House where the company is required to do so. Some companies may qualify as micro-entities and be able to prepare accounts under the micro-entity framework, with FRS 105 as the applicable financial reporting standard for qualifying entities. Others may fall within the small companies regime instead.
