What Are First Year Accounts for a Micro Company, and How Do They Apply to New Limited Companies in Sowerby Bridge?

First year accounts are the first set of statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which normally runs from the date of incorporation to the company’s first accounting reference date. Companies House sets that accounting reference date automatically on incorporation, generally to the last day of the month in which the first anniversary of incorporation falls, and because the period starts at incorporation rather than at the start of a calendar year, a first accounting period is often longer than twelve months. Once the period ends, the company needs to prepare accounts for it and deliver them to Companies House where required. They are separate from a Corporation Tax Return submitted to HMRC and from a confirmation statement filed with Companies House.

There is no single date that applies to every company. The deadline depends on the incorporation date, the accounting reference date and the applicable Companies House requirements. Because a first accounting period often covers more than twelve months, first accounts deadlines are generally longer than those for later years, but the exact position varies from company to company. We can confirm the period your accounts need to cover and the date they are due once we have your company details.

Usually bank statements and transaction listings, sales and income records, business expense records and receipts, purchase invoices, details of any assets purchased, share capital information, director loan movements, and payroll or VAT records where those apply. A company with limited activity will have far less to provide than one that has been trading throughout. Companies that do not qualify may still report as small companies, or may need the standard framework. We assess this as part of preparing the accounts rather than assuming a framework at the outset.

They are two different filings. A confirmation statement confirms that the information on the public register - directors, shareholders, registered office and similar details - remains accurate, and it is a separate requirement from delivering accounts. Filing first year accounts does not satisfy the confirmation statement obligation, and filing a confirmation statement does not complete the accounts. Newly incorporated companies often need to keep an eye on both.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, which may include late filing penalties, and the position generally worsens the longer a filing remains outstanding. Paying a penalty does not remove the requirement to file the accounts.
