First Year Accounts for Limited Company in Chigwell, Prepared Correctly From the Start

The first set of statutory accounts is often the first significant compliance milestone for a newly incorporated company, and it tends to arrive sooner than directors expect. Micro Entity Accounts supports limited companies in Chigwell with First Year Accounts for Limited Company preparation, from reviewing the underlying accounting records through to drafting the balance sheet and profit and loss account where applicable, and delivering the accounts to Companies House where required. Directors remain responsible for the company’s records and its filing obligations, but the technical preparation itself can be handled for you. If Corporation Tax applies, a CT600 is submitted separately to HMRC, and we can make clear how that obligation sits alongside your Companies House accounts rather than being treated as the same thing.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of annual statutory accounts a limited company prepares for its opening accounting period. That period normally begins on the date of incorporation and ends on the company’s first accounting reference date, although the exact dates depend on the company’s own details, and a first period is often longer than the twelve months covered by later sets of accounts. The accounts show the company’s financial position at the period end, typically through a balance sheet, together with a profit and loss account where applicable and the notes required by whichever reporting framework the company uses. Directors stay responsible for keeping adequate accounting records and for ensuring the accounts are properly prepared. First year accounts are not the same as a Corporation Tax Return. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC, and the company’s first Corporation Tax accounting period does not always line up with the statutory accounts period. A confirmation statement is a separate filing again. Submitting the accounts does not, by itself, settle those other obligations. Where a company meets the eligibility conditions for the relevant accounting period, it may be able to report as a micro-entity under FRS 105, the financial reporting standard that applies to qualifying entities using the micro-entity framework. Qualifying is not automatic. Being newly incorporated, or simply small, or having modest turnover does not on its own confirm eligibility, so the appropriate framework is decided once the company’s circumstances are understood. For directors across Chigwell working through a first set of limited company accounts, that assessment is usually the sensible place to begin, because it shapes how the accounts are drafted and what they need to contain.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

First Year Accounts for Limited Company in Chigwell, Prepared and Filed With Proper Support

If your company has recently been incorporated, the first set of accounts can feel like an obligation that arrives before you have had time to think about it properly. Questions about which accounting reference date applies, what records you need to keep, whether the micro-entity framework is available and what actually has to go to Companies House are common, and they are reasonable ones to ask. Micro Entity Accounts works with newly incorporated limited companies and their directors on first year accounts preparation, reviewing the accounting records, drafting the accounts in the format the company’s circumstances require and assisting with Companies House filing where it applies. We will also point out where a Corporation Tax Return, a confirmation statement or other obligations sit separately, so nothing is assumed to be covered when it is not. Clear pricing, plain explanations and a straightforward process are what you can expect when you get in touch.

They are the first set of annual statutory accounts a limited company prepares, covering its opening accounting period. That period generally starts on the incorporation date and ends on the company's first accounting reference date, and it can be longer than the twelve months covered by later accounts, so the exact dates always depend on the individual company. The accounts usually include a balance sheet, a profit and loss account where applicable and the notes required by the reporting framework being used. Once prepared and approved by the directors, they are delivered to Companies House where required. If you are unsure what your company's first period covers, we can confirm the position from your incorporation details.

The deadline is not identical for every company. It depends on the accounting reference date, the incorporation date and whether the set of accounts being filed is the company's very first, because Companies House allows a different filing period for a first set of accounts compared with later years. The practical approach is to work from the company's own accounting reference date rather than a general rule of thumb. We check the dates that apply to your company and plan the preparation around them. Starting the records early tends to make the whole process simpler, and it leaves time to deal with anything that is unclear before the date approaches.

It depends on what the company has done since incorporation. In practice we usually ask for bank statements covering the whole period, sales and income records, purchase invoices and expense receipts, details of any assets purchased, share capital information, and records of money introduced or withdrawn by directors. Where the company runs payroll or is VAT registered, the relevant payroll and VAT records are useful as well. If your company is based in Chigwell and has only just been incorporated, that list may be short. Where there are gaps, we will tell you what is missing, because the figures in the accounts need to be supported by real records rather than estimates.

In general, yes. A UK limited company must prepare annual statutory accounts and deliver them to Companies House where required, and that obligation exists whether or not the company has started trading. Filing first year accounts does not replace anything else either. The company still needs to keep its Companies House information up to date and submit a confirmation statement when it falls due, and the directors remain responsible for making sure those filings happen. Engaging an accountant to prepare the accounts does not move that responsibility away from the board.

A company can have statutory filing obligations even where activity has been limited. Where there have been no significant accounting transactions, the reporting position depends on the company's particular circumstances and the applicable rules rather than being automatically described as dormant. Dormant status has specific criteria, and a company that has received income, paid expenses or simply moved money through its bank account may not meet them. The sensible starting point is to look at what has actually happened during the period and then decide how the accounts should be prepared and filed.

No, they serve different purposes and go to different places. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has a Corporation Tax obligation. Figures from the accounts often feed into the tax return, but completing one does not complete the other, and neither filing replaces a confirmation statement. It is also worth knowing that a company's first Corporation Tax accounting period and its statutory accounts period may not be identical, which is one reason the two are usually planned together rather than in isolation.

Some newly incorporated companies can, but it is not automatic. Micro-entity eligibility is assessed against the applicable criteria for the accounting period in question, and a company that has only recently been incorporated still has to meet them. Where it does qualify, the accounts are normally prepared under FRS 105, the financial reporting standard for qualifying entities using the micro-entity framework, which permits a simplified format. Where it does not, a small-company framework or another basis may be more appropriate. We confirm which framework applies before preparation begins, based on the company's circumstances rather than turnover alone.

If required accounts are not delivered by the applicable deadline, Companies House can take action, and the consequences depend on how late the filing is. Settling any penalty does not remove the need to file the outstanding accounts; the filing itself still has to be completed. If you are already overdue, the priority is usually to get the accounts prepared and submitted as promptly as the records allow, and to understand what options may be available for your situation. Whether an appeal is possible depends on the circumstances and the applicable rules, so it is worth taking advice before making assumptions.
