What Are First Year Accounts for a Micro Company and How Do They Work?

First-year accounts are the first set of annual statutory accounts a limited company prepares, covering its initial accounting period. That period normally begins on the date of incorporation. It may run for a full twelve months, or it may be longer or shorter depending on how the company’s accounting reference date falls and on the applicable Companies House requirements. This is why two companies incorporated in the same month can still face different first-year reporting periods — the dates matter, and they are set by reference to the accounting reference date rather than by a single rule that applies to everyone. Preparing those accounts means pulling the company’s accounting records into a coherent set of financial statements. For a straightforward, newly incorporated company that typically includes a balance sheet showing assets, liabilities and shareholders’ funds, together with a profit and loss account where applicable. Directors’ responsibilities around the accounts and the underlying records also sit with the company, not with any third party, even where an accountant has been engaged to prepare and file the figures. The word ‘micro’ is a reporting framework, not a description of any new company. Rather than working from a rough assumption, it is worth confirming the exact date that applies to your company before the period ends.

It varies with what the company has actually done. Typically we would look at bank transactions, sales and income records, business expenses and purchase invoices, any asset purchases, director transactions or loans, share capital information, and payroll or VAT records where those apply. If the company has had very little activity, the records needed will be correspondingly lighter — but the reporting position still depends on the company's circumstances rather than being assumed.
