What Are First Year Accounts for a Micro Company — and Does a New Company Qualify?

Every newly incorporated limited company has a first accounting period, and at the end of it the directors are responsible for producing the company’s first set of statutory accounts. These are the annual accounts for that initial period: a balance sheet showing what the company owns and owes at the period end, a profit and loss account where applicable, and the supporting notes and statements required by the reporting framework the company uses. Once prepared and approved by the directors, first year accounts are generally delivered to Companies House where required. The first accounting period normally starts on the date of incorporation and ends on the company’s first accounting reference date. That opening period can be longer or shorter than the twelve-month periods that follow, which is one reason first year accounts often look different from the accounts a company files in later years. The accounting reference date also affects when the accounts are due, so it is worth confirming early rather than working back from an assumed deadline. Micro-entity reporting is one option open to smaller companies, but it is not automatic. A company may be able to use the micro-entity framework, and FRS 105 — the financial reporting standard for qualifying micro-entities — only where it meets the applicable eligibility requirements for the relevant accounting period. Whether that framework suits a particular company depends on its size, circumstances and the rules in force for that period, so eligibility should be checked before the accounts are drafted rather than taken for granted. Because of that, there is no single date that applies to every new company. The safest approach is to confirm your company's accounting reference date and filing requirements early, rather than assuming the deadline matches the one that will apply in future years.

It depends on what the company has been doing, but common items include bank statements and transaction listings, sales or income records, business expense receipts, purchase invoices, details of any assets bought, share capital information, movements on any director's loan account, and details of loans or finance agreements.
