They are the first set of statutory annual accounts a company prepares after incorporation, covering its initial accounting period. That period generally begins on the date of incorporation and ends on the company's first accounting reference date. The accounts are built from the company's accounting records and will normally include a balance sheet, and where applicable a profit and loss account, together with the notes and statements required by the reporting framework the company uses. Where required, they are delivered to Companies House.
The answer depends on the company's own details rather than a single rule that applies to everyone. Companies House sets an accounting reference date when a company is incorporated, and the first accounts filing deadline is calculated from that date and the incorporation date, so it can differ from the deadline pattern that applies in later years. The first accounting period can also be longer than the twelve months used for subsequent periods. If you are unsure what applies to your company, we can check the incorporation details and accounting reference date and confirm the position.
It depends on what the company has done, but typical records include bank statements and transaction listings, sales and income records, expense receipts and purchase invoices, details of any assets bought, share capital information, loans or finance arrangements, and any director transactions. Where the company runs payroll or is VAT registered, those records are relevant too. If some records are incomplete, that is common in a first period — the important thing is to review what exists and identify what still needs to be pulled together before the accounts are prepared.
In most cases a limited company has statutory accounts filing obligations, and being newly incorporated does not remove them. Where accounts are required, they are delivered to Companies House. A company may still have compliance responsibilities even where activity has been limited, and a confirmation statement may also need to be submitted separately to keep the company's public information up to date. Filing first-year accounts does not replace the confirmation statement, and Companies House does not approve accounts; it receives and records them.
Not trading does not automatically mean there is nothing to consider. The reporting position depends on the company's circumstances and the applicable rules, and in some cases accounts still need to be prepared and delivered. Whether a company can file as dormant is a separate question that turns on whether it meets the relevant conditions, and dormant accounts are not the same as full statutory accounts. It is worth reviewing the company's actual activity — including anything paid by or to the company — before assuming a particular route applies.

Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Filing one does not complete the other. It is also possible for the company's first Corporation Tax accounting period and its statutory accounts period to differ, so the two should be considered separately. Figures from the accounts may well inform the tax return, but that does not make them the same filing.
It can, but qualification is not automatic simply because a company is newly incorporated or has low activity. Micro-entity reporting depends on meeting the applicable eligibility conditions for the accounting period concerned, which relate to matters such as turnover, balance sheet total and employee numbers at the relevant thresholds. Where a company qualifies and chooses that framework, FRS 105 is the financial reporting standard that applies. Failing to deliver accounts by the applicable deadline can lead to Companies House consequences, and those consequences may become more significant the longer the accounts remain outstanding.
