They are the first set of statutory annual accounts a company prepares after incorporation, covering its initial accounting period. That period usually starts on the date of incorporation and ends on the company's first accounting reference date, though the exact position depends on the company's own filings. The accounts show the company's financial position for that period — typically a balance sheet, and a profit and loss account where applicable — and are delivered to Companies House where required.
The due date depends on the company's incorporation date and its accounting reference date, so it is not the same for every new company. Companies House sets out the first accounts due date when a company is incorporated, and that date should be checked against the company's own records rather than assumed. If you are unsure which period your first accounts cover or when they are due, it is worth confirming early, as the deadline can fall sooner after incorporation than many new directors expect.
It depends on what the company has done during the period. In practice, we usually need bank transactions and statements, sales and income records, business expenses, purchase invoices, details of any assets bought, director loan or expense transactions, share capital information, and any loans or finance arrangements. Payroll and VAT records may also be relevant where the company has those obligations. If the company has had little activity, the records needed will be correspondingly limited — but accurate records still matter.
A limited company generally has statutory accounts filing obligations from incorporation, and first year accounts are filed with Companies House where required. This applies even where the company has had limited activity or has not yet started trading, and it is separate from any Corporation Tax obligations. Where a company has had no significant accounting transactions, its reporting position depends on its circumstances and the applicable rules — it should not simply be assumed to be dormant.
No. First year statutory accounts are prepared for the company and delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted separately to HMRC where applicable, and the company's first Corporation Tax accounting period may not be identical to the period covered by the statutory accounts. Information from the accounts is often used when preparing the Corporation Tax position, but the two filings serve different purposes and go to different destinations — one does not complete the other.
Some newly incorporated companies may qualify for the micro-entity reporting framework if they meet the applicable eligibility requirements for the relevant accounting period. Qualification is not automatic, and a company does not become a micro-entity simply because it has low turnover or has recently started up. Where a company does qualify, FRS 105 may allow a simpler set of accounts. The appropriate framework should be confirmed against the company's eligibility and circumstances before the accounts are prepared.
