What Are First Year Accounts for a Micro Company, and Does That Apply to Your Burnley Company?

First-year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because a company is young. Once incorporated, a company takes on reporting responsibilities, and its first accounts normally cover the period from incorporation — or from the start of its first accounting period — through to its first accounting reference date. That period normally begins on the date of incorporation or the start of the first accounting period and runs to the company's first accounting reference date. The accounts generally include a balance sheet, and a profit and loss account where the applicable framework requires one. They are prepared from the company's accounting records and are delivered to Companies House where required.

The deadline is not identical for every company. It is worked out from the company's incorporation date, its accounting reference date and the length of the first accounting period, alongside the applicable Companies House requirements. Because the first period can be longer or shorter than twelve months, two companies incorporated at different points in the year may face different deadlines. It is worth confirming the date that applies to your own company rather than working from assumptions.

It depends on what the company has actually done. Typically we would look at bank transactions, sales and income records, purchase invoices, business expenses, asset purchases, share capital details, any loans or finance arrangements, and director transactions. Where relevant, payroll records and VAT records also feed into the picture. Not every company will have all of these — a company that has only recently started trading may have very little to report, and that is normal.

A company generally has statutory filing obligations from incorporation, and having limited or no trading activity does not automatically remove them. Whether a company is dormant for filing purposes depends on its circumstances and the applicable rules rather than on the absence of sales alone, so it should not be assumed. If your company has had no significant transactions, it is worth checking its reporting position before deciding what to file.

No. Statutory accounts are delivered to Companies House where required, whereas a CT600 Corporation Tax Return is submitted to HMRC where applicable. The two are separate filings with separate purposes, and completing one does not complete the other. Accounting information from the company's accounts is often used when preparing its Corporation Tax position, but filing the accounts does not submit a CT600, and the company's first Corporation Tax accounting period may not be identical to its statutory accounts period.

Some companies do qualify to report under the micro-entity framework, but it is not automatic and it is not decided by being newly incorporated or by having low turnover. Eligibility depends on the company meeting the applicable conditions for the relevant accounting period, and FRS 105 only applies to entities that fall within that framework. If your company does not meet the conditions, a different reporting framework will apply. We can review your position and confirm which framework fits.

No. The confirmation statement is a separate filing that confirms Companies House records such as directors, registered office and share information remain correct, and it does not take the place of the accounts. A limited company may need to submit confirmation statements as well as its statutory accounts, and keeping the Companies House record up to date is a distinct responsibility from preparing the accounts themselves.

Where required accounts are not delivered by the applicable deadline, Companies House can take action, and the consequences depend on the circumstances and how late the filing is. Late filing penalties may apply, and paying a penalty does not remove the requirement to file the outstanding accounts. If you believe there was a valid reason for the delay, appeal eligibility depends on the facts and the applicable rules. If you are already overdue, the priority is usually to get accurate accounts prepared and filed without further delay, and we can assist with that.
