First Year Accounts for Limited Company in Burgess Hill — Professional Preparation and Filing Support

The first set of statutory accounts a limited company prepares raises questions that rarely come up again: which accounting reference date applies, how long the first accounting period runs, what the accounts should contain, and what has to be delivered to Companies House. At Micro Entity Accounts we support directors of newly incorporated and newly trading companies in Burgess Hill with First Year Accounts for Limited Company, working from your accounting records to prepare the balance sheet, the profit and loss account where applicable, and any notes the relevant reporting framework requires, then filing with Companies House where required. Where the company also has Corporation Tax obligations, those are handled separately — a CT600 is submitted to HMRC and is not the same as filing accounts with Companies House, and the two can cover slightly different periods. Our role is to prepare, review and file the required information properly so your first-year compliance position is built on accurate figures rather than assumptions.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and What Do They Cover?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is newly incorporated. Once a company exists, it has reporting responsibilities, although the period the accounts cover and the date by which they must be filed depend on the company’s incorporation date, its accounting reference date and the applicable Companies House requirements. A first accounting period usually begins on the date of incorporation and may be longer or shorter than the twelve-month periods that follow, so it is worth confirming the position early rather than reconstructing it later. The accounts themselves normally include a balance sheet and, where relevant, a profit and loss account, together with any notes required by the reporting framework the company uses. Directors stay responsible for keeping adequate accounting records and for making sure the company meets its statutory obligations, even when an accountant prepares or files on the company’s behalf. Some newly incorporated companies qualify to report as micro-entities under FRS 105, the financial reporting standard applicable to qualifying entities using the micro-entity accounting framework. Eligibility is not automatic and depends on the company’s circumstances and the applicable requirements for the accounting period in question. A new company with modest activity should not assume it falls into that category, and equally should not assume it does not. It also helps to keep the separate filings distinct. First-year statutory accounts are delivered to Companies House where required. A Corporation Tax Return such as a CT600 is a separate submission to HMRC, and the company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. A confirmation statement is separate again, and filing accounts does not replace it. For directors in Burgess Hill, treating these three obligations as distinct tasks makes the first year considerably easier to manage.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

They are the first set of annual statutory accounts a limited company prepares for its initial accounting period, which normally starts on the date of incorporation. They typically include a balance sheet and, where applicable, a profit and loss account, along with any notes required by the reporting framework the company uses. They are prepared from the company's accounting records and are filed with Companies House where required. They are separate from a Corporation Tax Return submitted to HMRC and separate from a confirmation statement.

There is no single answer that applies to every new company. The due date is driven by the company's accounting reference date and the Companies House rules that apply to first accounts, and because a first accounting period may be longer than twelve months, it is not simply a case of counting twelve months from incorporation. The sensible approach is to check the company's accounting reference date and the current Companies House guidance, or ask us to confirm the position for your company.

It depends on what the company has done. Typically we would look at bank transactions and statements, sales and income records, business expenses and purchase invoices, asset purchases, director transactions, share capital details, any loans or finance arrangements, and payroll or VAT records where those are relevant. Not every company will have all of these. If records are incomplete or mixed with personal spending, we can help you work out what is needed before the accounts are prepared.

Generally yes, once a company is incorporated it has annual accounts filing obligations, even if activity has been limited. The specific requirement depends on the company's circumstances and the applicable rules. Filing accounts with Companies House is not the same as notifying HMRC of anything, and it does not finish the company's other compliance tasks, such as confirmation statements or Corporation Tax filings where those apply.

No. First-year statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. The figures in the accounts are often used when preparing the Corporation Tax position, but the two filings have different purposes and different destinations. Filing one does not automatically complete the other, and the company's first Corporation Tax accounting period may not match its statutory accounts period.

In many cases there is still a statutory filing position to deal with, but the correct treatment depends on the company's circumstances and the applicable rules. A company with no significant accounting transactions is not automatically dormant for every purpose, because the tests used by Companies House and HMRC are not identical. If your company has been quiet since incorporation, it is worth checking the position rather than assuming nothing needs to be filed.

It may do, if it meets the applicable eligibility requirements for the relevant accounting period. Qualification is not automatic, and a low level of activity or a recent incorporation date does not by itself confirm eligibility. FRS 105 is the financial reporting standard applicable to qualifying entities using the micro-entity framework. We review the company's circumstances and the requirements for the period before deciding which framework is appropriate.

Failing to file required accounts by the applicable deadline can lead to Companies House consequences, and the outcome is not the same in every case. Paying any penalty that arises does not remove the requirement to file the outstanding accounts. Where an appeal is considered appropriate, eligibility depends on the circumstances and the applicable rules. Directors of companies in Burgess Hill who think a deadline may have been missed should act promptly rather than wait for further correspondence.
