First Year Accounts for Limited Company in Broughton: Prepared, Reviewed and Filed Correctly

Your company’s first set of statutory accounts arrives sooner than most directors expect. Micro Entity Accounts provides First Year Accounts for Limited Company support in Broughton, from reviewing your accounting records and preparing the balance sheet and profit and loss account where applicable, through to filing the statutory accounts with Companies House where required. Whether the company has traded throughout its first period or has had limited activity so far, we help you establish what needs to be reported and which reporting framework suits your circumstances. Corporation Tax is a separate matter: a CT600 is submitted to HMRC rather than Companies House, and the first Corporation Tax accounting period may not be identical to the statutory accounts period.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and Does That Framework Apply to You?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and ends on the company’s first accounting reference date, although it can be shortened or adjusted in certain circumstances. Because the length of the first period varies from company to company, the filing deadline that follows from it is not the same for every newly incorporated business. What matters is identifying the accounting reference date that applies to your company and working from there. These accounts are not optional. A company incorporated in Broughton, or anywhere else in the UK, generally has statutory accounts filing obligations even if trading has been limited or has not started at all. Where a company has had no significant accounting transactions, its reporting position depends on its particular circumstances and the applicable rules rather than being automatically treated as dormant. Filing the accounts with Companies House is one compliance step; it does not, by itself, complete a Corporation Tax Return, a confirmation statement, a VAT Return or any other obligation the company may have. A limited company may also need to prepare and submit a Corporation Tax Return, such as a CT600, to HMRC. The figures from the statutory accounts are often used when working out the company’s tax position, but the two filings serve different purposes and go to different places. A confirmation statement is separate again: it confirms the information Companies House holds about the company and does not replace the accounts. Some newly incorporated companies qualify to report as micro-entities, and where they do, FRS 105 is the financial reporting standard that applies to the micro-entity accounting framework. Eligibility depends on the company meeting the relevant criteria for the accounting period in question, so it should be assessed rather than assumed. A low level of activity on its own does not automatically make a company a micro-entity, and not every startup or new company will qualify. Where the micro-entity framework is not appropriate, small-company or full reporting requirements may apply instead.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

They are the first set of annual statutory accounts prepared for a company's initial accounting period, which normally starts on the date of incorporation and ends on the company's first accounting reference date. They typically include a balance sheet and, where applicable, a profit and loss account and notes, and they are generally filed with Companies House where required. They are separate from a Corporation Tax Return submitted to HMRC and from a confirmation statement.

The deadline depends on your company's incorporation date and accounting reference date, so it is not the same for every business. The first accounting period may be longer or shorter than twelve months, and Companies House applies its own rules on how the period and filing deadline are calculated. We can confirm the relevant dates for your company and work towards them once the period has been established.

It depends on what the company has done. Typical records include bank statements and transactions, sales and income records, purchase invoices and business expenses, asset purchases, director loan movements, share capital details and any finance or hire purchase agreements. Payroll or VAT records may also be relevant where the company is registered for those. There is no requirement to hold every type of record, only those that reflect the company's actual activity.

A newly incorporated company can still have statutory filing obligations even where trading has not started or activity has been minimal. The exact reporting position depends on the company's circumstances and the applicable rules, rather than being automatically described as dormant. It is worth checking your position early, as dormant status has specific conditions that not every inactive company meets.

They follow the same principles, but the first set covers the company's initial period, which may be longer or shorter than the twelve-month periods that follow. That can make the first accounts slightly different to prepare, particularly where the first Corporation Tax accounting period does not line up exactly with the statutory accounts period.

No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. A confirmation statement is a further, separate filing that confirms the information Companies House holds about the company. Completing one of these does not automatically complete the others, and each has its own requirements and timing.

Some newly incorporated limited companies do qualify for the micro-entity reporting framework, and FRS 105 is the standard that applies to qualifying entities that use it. Eligibility depends on meeting the applicable criteria for the relevant accounting period and is not automatic for every new company, startup or low-turnover business. Where micro-entity reporting is not appropriate, another framework will apply instead, and we can help you establish which one fits.

Filing required accounts after the applicable deadline can lead to consequences from Companies House, and the outcome depends on how late the filing is and the circumstances involved. Paying any penalty does not remove the requirement to file the outstanding accounts. If you are already overdue, the priority is to get the accounts prepared and submitted, and where a penalty has arisen, appeal eligibility depends on the specific circumstances and applicable rules.
