They are the first set of statutory annual accounts a company prepares for its initial accounting period, generally covering the time from incorporation through to its accounting reference date. They normally include a balance sheet and, where applicable, a profit and loss account, along with any notes required by the reporting framework the company uses. Once finalised, they are delivered to Companies House where required. Preparing and filing the accounts remains the directors' responsibility, even when an accountant is engaged to help.
The deadline depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements, which is why no single date applies to every new company. The first accounting period is usually set from incorporation to the accounting reference date, and it can be longer than the twelve-month periods used in later years. Because the deadline is tied to those dates, it is worth confirming your company's position early rather than assuming your timescale matches another company's.
Typically bank statements and transaction records, details of sales and other income, business expense receipts and purchase invoices, records of any assets bought, director transactions and loans, share capital information, and payroll or VAT records where those apply. A company with limited activity will need fewer records, but there still needs to be enough detail to show what happened during the period. Well-kept accounting records usually mean fewer queries and a smoother preparation process.
Where required, yes. A company does not escape its accounts obligations simply because it is newly incorporated or has not yet started trading. What must actually be filed depends on the company's circumstances and the applicable rules, including whether any exemption applies for the period in question. Directors should confirm the position for their own company rather than assume nothing is due.
Not trading does not automatically remove the obligation to deal with statutory accounts. Where a company has had no significant accounting transactions it may be able to file on a different basis, but whether it is genuinely dormant for filing purposes depends on its circumstances and the applicable rules, and that should be confirmed before anything is submitted. It is a common misunderstanding in Brough and elsewhere that an inactive company has nothing to do — often that is not the case, and separate Corporation Tax considerations can apply as well.
No. First year statutory accounts are prepared for the company and delivered to Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC where the company has Corporation Tax obligations. The figures in your accounts often feed into the tax return, but they are separate filings with different purposes, destinations and timelines. Completing one does not complete the other, and the company's first Corporation Tax accounting period may not match its statutory accounts period.
Some newly incorporated companies may qualify to report under the micro-entity framework, and FRS 105 is the financial reporting standard used by qualifying entities within that framework. Eligibility is not automatic, though — it depends on meeting the applicable criteria for the relevant accounting period and on the company's own circumstances. A new company with substantial activity, group involvement or unusual transactions may not qualify, so the correct framework should be assessed before the accounts are drafted rather than assumed.
Missing the applicable deadline can lead to Companies House consequences, and the position can become more involved where accounts are significantly overdue. Paying any penalty does not remove the requirement to deliver the outstanding accounts.
