What Are First Year Accounts for a Micro Company, and Does That Framework Apply to You?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new, and they are not something that can be left until the company has grown. Where the company has been incorporated, it will normally have reporting obligations attached to its first accounting period, even if activity in that period has been limited. The first accounting period usually runs from the date of incorporation to the company’s first accounting reference date, although Companies House rules mean the first period can be treated differently from later ones. That is why the exact length of a company’s first period, and therefore the deadline attached to it, depends on individual circumstances rather than a single rule that applies to every new company in Brockham. The accounting reference date can also be changed in certain situations, which affects what has to be filed and when. The accounts themselves typically include a balance sheet, and where applicable a profit and loss account, along with any notes required by the reporting framework used. A qualifying company may be able to prepare micro-entity accounts under FRS 105, the financial reporting standard for entities using the micro-entity framework, or small-company accounts under a different framework. They are the first set of statutory accounts a company prepares for its initial accounting period, covering the period from incorporation (or from the start of trading where relevant) up to its first accounting reference date. The accounts normally include a balance sheet and, where applicable, a profit and loss account and supporting notes, prepared under the reporting framework the company is eligible to use. They are separate from a Corporation Tax Return and from a confirmation statement.

There is no single deadline that applies to every new company. The first accounting period is usually measured from the incorporation date to the first accounting reference date, and Companies House applies specific rules to how that first period is treated. The resulting filing deadline therefore depends on the company's own dates and circumstances. We can confirm the position for your company and work back from the applicable date.

It depends on what the company has done, but most first-year files are built from bank statements and transaction listings, sales and income records, purchase invoices and expense receipts, details of any assets bought, share capital information, director loan movements, and any finance or lease agreements. Where the company runs payroll or is VAT registered, those records are relevant too. Anything less than a complete set of records can usually still be worked with, but the more accurate the information, the smoother the preparation.

Where a company has been incorporated and has a statutory accounting period, it will normally be required to deliver accounts to Companies House for that period, even if trading has been limited. Filing accounts does not replace the confirmation statement, which is a separate submission, and it does not settle any Corporation Tax position with HMRC. Companies House does not prepare or approve the accounts; its role is to receive them onto the public register.

A company does not escape its reporting obligations simply because it has not yet begun trading. The position depends on the company's circumstances and the applicable rules, including whether it has had any significant accounting transactions. A company with very little activity may be treated differently from one that is genuinely dormant, and the two are not automatically the same thing. It is worth checking rather than assuming nothing needs to be filed.

No. Statutory accounts are filed with Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The figures in the accounts are often used as a starting point when working out the Corporation Tax position, but the two filings serve different purposes and go to different places. Submitting one does not submit the other.

It may, if it meets the eligibility conditions for the relevant accounting period, but qualifying is not automatic and a new company should not assume it fits the micro-entity framework simply because it is small or newly formed. Where the criteria are met, micro-entity accounts can be prepared under FRS 105. If they are not met, a different framework and a fuller set of accounts may be needed instead.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and the nature of those consequences depends on how late the filing is and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts. If a company has already missed its date, it is usually best to prepare and file as soon as possible and, where relevant, look at whether an appeal may be available based on the circumstances.
