First Year Accounts for Limited Company in Brimstage: Prepared Properly, Filed Correctly

Reaching the end of your first accounting period is a genuine milestone, and the statutory accounts that follow are not optional simply because the company is newly incorporated. Our First Year Accounts for Limited Company service supports directors of newly incorporated and newly trading companies in Brimstage with preparing the statutory accounts, reviewing the accounting records behind them and filing with Companies House where required. We will also explain how the first accounting period works in practice, which reporting framework may be appropriate for your company, and why a Corporation Tax Return such as a CT600 is a separate submission made to HMRC rather than part of the Companies House filing.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in Brimstage

First-year accounts are the first set of annual statutory accounts a limited company prepares after incorporation. They cover the company’s initial accounting period, which begins on the date of incorporation and normally runs to the company’s first accounting reference date. That reference date is set when the company is registered and can often be shortened or adjusted, so the length of a first period does not look the same for every company. The accounts themselves summarise the company’s financial position and performance for that period, typically through a balance sheet and, where applicable, a profit and loss account, together with the notes and disclosures required by the reporting framework being used. Some newly incorporated companies meet the eligibility criteria to report as micro-entities and may therefore use the micro-entity accounting framework, which includes FRS 105 — the financial reporting standard applicable to qualifying entities using that framework. Eligibility depends on the company’s circumstances and the requirements in force for the relevant accounting period, so it should be confirmed rather than assumed. A company that does not qualify may instead fall within the small companies regime or need to report under a fuller framework. Once prepared and approved by the directors, first-year statutory accounts are generally filed with Companies House where required. That filing sits alongside, but does not replace, the company’s other compliance obligations. A Corporation Tax Return, such as a CT600, is submitted to HMRC and deals with the company’s tax position; the Corporation Tax accounting period and the statutory accounts period are not always identical. A confirmation statement is a further separate filing confirming that the company’s registered details remain accurate. Delivering accounts to Companies House does not, by itself, complete any of those other requirements, and Companies House does not professionally or regulatorily approve accounts that are filed with it.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

First Year Accounts for Limited Company in Brimstage: Start With Accurate Statutory Accounts

Many directors incorporate a company and only later realise that the first set of statutory accounts comes with its own reporting decisions, record requirements and deadlines. If you are unsure which framework applies, what needs to go into the accounts or what has to be delivered to Companies House, Micro Entity Accounts can assist with preparing, reviewing and filing your first-year statutory accounts for the relevant period. We will work through your accounting records with you, flag anything that needs clarifying before the accounts are finalised, and explain how the Companies House filing sits separately from any Corporation Tax Return, confirmation statement or VAT position. Getting the first set right also makes later years far easier to manage, so it is worth speaking to us early rather than waiting until the period has closed.

They are the first set of annual statutory accounts prepared for the company's initial accounting period, which starts on the date of incorporation and ends on the company's first accounting reference date. They set out the company's financial position at the period end, usually through a balance sheet, together with a profit and loss account and notes where the applicable framework requires them. The directors approve the accounts, and they are then delivered to Companies House where required.

The deadline depends on the company's incorporation date and its accounting reference date, and the first accounts period is treated differently from later years in some respects. Rather than working from a general rule, it is safest to check the specific filing date attached to your own company on the Companies House register. If you would like us to look at the position for your company, we can review the dates and confirm what applies.

It varies with the company's activity, but typical information includes bank statements and transactions, sales or income records, purchase invoices and expense receipts, details of any assets bought, movements on director's loan accounts, share capital information and details of any loans or finance arrangements. Where the company has run payroll or registered for VAT, those records are relevant too. If your records are incomplete or held in several places, part of the process is often simply pulling everything together into a usable format.

In most cases a limited company must deliver statutory accounts to Companies House for its accounting period, and that obligation is not removed by the company being new or having limited activity. The first accounts also need to be prepared under an appropriate reporting framework and approved by the directors before filing. Filing accounts does not settle other obligations — the company may still need to submit a confirmation statement and keep its registered information up to date.

No. First-year statutory accounts are prepared for the members and delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC and deals with the company's tax position. The figures in the accounts often inform the tax return, but the two filings have different purposes and go to different destinations. It is also possible for the company's first Corporation Tax accounting period and its statutory accounts period to differ, so the dates should be checked separately.

A company can still have statutory filing obligations even where activity has been very limited or trading has not yet begun, so the absence of sales does not automatically remove the requirement. Whether the company is dormant for reporting purposes depends on its particular circumstances and the applicable rules, and that is a different question from simply having had no significant transactions. Directors in Brimstage who are unsure how their company should be treated can ask us to review the position before the accounts are prepared.

It can, but not automatically. Micro-entity reporting depends on meeting the eligibility conditions that apply for the relevant accounting period, and a newly incorporated company with low activity does not necessarily qualify simply because it is small or new. If the company does qualify and chooses that framework, FRS 105 is the financial reporting standard that applies. If it does not qualify, the small companies regime or a fuller framework may be more appropriate, and we can help establish which one fits.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and those consequences can become more significant the longer the accounts remain outstanding. Paying any penalty does not remove the requirement to file the accounts themselves. Appeals against late filing penalties are only possible in certain circumstances and depend on the applicable rules, so if a deadline has been missed the priority is usually to get the accounts completed and submitted promptly.
