When Can a Stockport Company Submit Dormant Company Accounts?

A company may be considered dormant for Companies House purposes if it has had no significant accounting transactions during the relevant period. That means no income, expenditure, or other transactions that should be recorded in the company’s accounting records. However, dormancy is not simply the absence of trading or having no customers. Shareholder transactions, such as the issue of shares, can sometimes count as significant. Companies that have not started trading, have stopped trading, or are held as a property SPV or holding company may qualify, but each case depends on the company’s own circumstances and the applicable Companies House rules. It is important to note that being dormant for Companies House purposes does not automatically mean the company is dormant for HMRC purposes. You may still need to file dormant company accounts with Companies House and, depending on your Corporation Tax situation, you may also need to notify HMRC or file Corporation Tax Returns where required. Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes. They must meet the applicable Companies House requirements, and they are usually simpler than full statutory accounts because the company has had no significant accounting transactions. Preparing dormant company accounts is not the same as having no accounts at all — eligible companies still need to file the required form and documentation that Companies House expects.

Yes, a company that has not yet started trading may be dormant if it has had no significant accounting transactions. However, simply having no sales or no customers is not enough to automatically classify a company as dormant. The company's formation, share issues, bank interest and other activities could all affect dormancy. A review of your company's specific records and circumstances is needed to confirm whether dormant company accounts are appropriate.

Generally, yes. A confirmation statement is a separate filing with Companies House from dormant company accounts. It keeps the company's registered office, directors, shareholders and other statutory information up to date. Dormant company status does not remove the need to file a confirmation statement, so you should continue to meet this obligation while the company remains on the register.

No, the two concepts are different. Companies House dormancy relates to whether a company has had significant accounting transactions and needs to file accounts in a simplified form. HMRC dormancy relates specifically to Corporation Tax. A company that is dormant for Companies House purposes might still need to notify HMRC of its dormancy or continue to file Corporation Tax Returns in certain circumstances. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant for tax purposes.

Some dormant companies may also qualify as micro-entities under the Companies Act, which means they could use the micro-entity reporting framework if they meet the relevant size criteria. However, not every dormant company is automatically a micro-entity, and the two statuses are not the same. Eligibility depends on the company's legal structure, turnover, balance sheet total, number of employees and accounting period. If a dormant company fails to file its accounts by the statutory deadline, Companies House may issue a late-filing penalty. The penalty amount depends on how late the accounts are filed and can apply even if the company had no activity. Filing the outstanding accounts as soon as possible is essential, as paying a penalty does not remove the need to file.
