We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Staffordshire Company File Dormant Company Accounts?

A company is usually considered dormant for Companies House purposes if it has no significant accounting transactions during the relevant period. This may apply to companies that have not yet started trading, have stopped trading or are being held for future use. However, a company is not automatically dormant simply because it has no sales or is not actively trading. Certain activities, such as issuing shares or receiving interest, can affect its dormant status. It is also important to understand that being dormant for Companies House is not the same as being dormant for Corporation Tax purposes with HMRC. Even when a company is dormant for accounting purposes, it generally still needs to file the required annual accounts and keep its confirmation statement up to date unless a specific exemption applies. We can review your company’s circumstances and clarify whether dormant company accounts are the appropriate route and what other obligations may remain.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Dormant company accounts are the annual accounts prepared for a limited company that has no significant accounting transactions during the reporting period. They demonstrate that the company has had little or no financial activity and must be filed with Companies House where required. Dormant accounts are not a way to avoid filing altogether; they are a reduced form of statutory accounts that still needs to meet the applicable requirements.

Yes, in most cases a dormant company still has to file annual accounts. Being dormant does not by itself exempt a company from filing. Unless a specific exemption applies, the company must submit dormant company accounts to Companies House by the applicable deadline. Professional accountants can prepare and file these accounts for you, making the process straightforward.

They are separate and do not always overlap. A company may be dormant for Companies House purposes if it has no significant accounting transactions, but HMRC applies its own test for Corporation Tax dormancy. Even if a company is dormant with Companies House, HMRC may still expect it to notify them or file a Corporation Tax return unless it has been confirmed otherwise. The two positions must be checked separately.

Yes, a confirmation statement is separate from the annual accounts. Even if the company is dormant, it must continue to deliver a confirmation statement to Companies House to keep its information up to date, along with paying the relevant filing fee. Filing dormant company accounts does not satisfy the confirmation statement obligation.

Not always. A company that is dormant for Corporation Tax purposes may not be required to submit further Corporation Tax Returns once HMRC has confirmed that no return is needed. However, the company needs to notify HMRC of its dormant status first. If the company has been trading or receiving income during the period, a CT600 Corporation Tax Return may still be required. It depends on the company’s individual circumstances and tax history.

Some dormant companies may qualify as micro-entities and could use the micro-entity reporting framework under FRS 105. However, dormancy and micro-entity status are separate. A dormant company must still check whether it meets the size and activity criteria before choosing the reporting framework. We can help you determine the correct format and prepare the accounts accordingly.

To prepare dormant company accounts, we need your company’s registered name, number, registered office, director details, shareholders and the accounting period dates. We will also review whether there have been any significant transactions or prior balances. If your company has missed earlier filings, we may need details about the outstanding years. Once we have these, we can prepare and file the dormant accounts with Companies House on your behalf.

Yes. If your company has overdue annual accounts or has never filed accounts since incorporation, we can help bring its filing record up to date. We will identify the years that are missing, prepare the relevant dormant company accounts and support you in sending them to Companies House. Late filing may attract penalties, but dealing with the arrears is the necessary first step. We can help you work through the process and understand your current position.

Many directors assume that once their company is dormant, it no longer needs to file paperwork. In reality, Companies House obligations usually remain until the company is formally dissolved, and HMRC may have separate reporting requirements.
