Dormant company accounts are annual accounts prepared for a company that is considered dormant under the Companies Act and related regulations. They confirm that the company has had no significant accounting transactions during the period, apart from certain permitted items such as share capital or fees paid to the registrar. Dormant company accounts must still meet the required format and be filed with Companies House where applicable.
Yes. A dormant company will usually still need to file annual accounts with Companies House unless a specific exemption applies. Dormant status does not remove the requirement to file accounts; it simply means the accounts can be prepared in a simplified format. The filing deadline and the obligation to submit accounts continue to apply, and late filing can result in penalties.
A dormant company may be able to use the micro-entity reporting framework if it qualifies as a micro-entity under the applicable company law. However, dormancy does not automatically mean a company is a micro-entity. Eligibility depends on factors such as turnover, balance sheet totals and number of employees. If a dormant company meets the criteria, it may prepare its accounts under the micro-entity provisions, but we recommend confirming eligibility before filing.
Being dormant for Companies House purposes relates to the company's accounting transactions and its obligation to file annual accounts. Being dormant for Corporation Tax is a separate matter determined by HMRC and depends on the company's Corporation Tax position. A company may be dormant for Companies House but still be required to send Corporation Tax Returns to HMRC unless HMRC has confirmed that a return is no longer needed. Filing dormant company accounts with Companies House does not automatically inform HMRC of the company's tax dormancy.
Yes. Dormant company accounts do not replace the confirmation statement. A confirmation statement is a separate filing with Companies House that confirms the company's registered office, directors, shareholders and other statutory information. Most companies, including those that are dormant, must submit a confirmation statement at least once every 12 months to keep their records up to date.
Companies House can issue late-filing penalties even if the company is dormant, because the requirement to file annual accounts still applies. The amount of the penalty depends on how late the accounts are filed. It is not automatically removed because the company is dormant. If you have missed the deadline, it is important to file the outstanding accounts as soon as possible and consider whether the circumstances support an appeal.
Yes. A company that has been incorporated but has never traded can often file dormant company accounts, provided it meets the dormancy criteria.
