When Can a Company File Dormant Accounts?

A company is typically considered dormant for Companies House purposes if it has had no significant accounting transactions during the accounting period. For example, a company that has not started trading or has stopped trading may be able to file dormant accounts. However, dormancy is not automatic and depends on the company’s specific circumstances and the applicable rules. It’s also important to understand the difference between being dormant for Companies House and being dormant for Corporation Tax with HMRC. A company can be dormant for Companies House purposes while still having filing obligations, such as submitting a confirmation statement and, in some cases, Corporation Tax returns. Filing dormant accounts does not automatically remove the need to comply with these requirements.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

They are filed with Companies House and confirm that the company has had no significant accounting transactions. Even if a company is dormant, it may still need to prepare and file accounts unless a specific exemption applies. Preparing dormant accounts correctly is important to avoid late-filing penalties and maintain the company's filing history.

Yes, in most cases a dormant company still needs to file annual accounts with Companies House. There are some exemptions, but they depend on the company's circumstances and the applicable rules. Being dormant does not mean you can ignore the annual accounts requirement. If the accounts are not filed by the deadline, the company may incur late-filing penalties even though it is dormant.

These are separate tests. A company may be considered dormant for Companies House purposes if it has no significant accounting transactions. For HMRC and Corporation Tax, dormancy is determined by whether the company has any income or chargeable gains and whether it is required to file Corporation Tax returns. Filing dormant accounts does not replace the confirmation statement requirement.

Yes, if the company has never started trading and has had no significant accounting transactions, it may be able to file dormant accounts. This is common for companies that were incorporated for a future purpose but have not begun commercial activity. The company must still comply with its annual accounts and confirmation statement obligations while it remains dormant.

Some dormant companies may also qualify as micro-entities, but dormancy and micro-entity status are separate issues.
