Dormant company accounts are annual accounts prepared for a company that had no significant accounting transactions during its accounting period. They are filed with Companies House, normally in a simplified format showing a balance sheet plus supporting notes, and the directors' signature. Although the content may be brief, the accounts must meet the applicable statutory requirements. Filing dormant accounts helps keep your limited company on the register and up to date.
Generally, yes. Dormancy for Companies House does not remove the obligation to file annual accounts unless a specific exemption applies. Even a company that is not trading must still send the required accounts to Companies House each year, and failing to do so can lead to late-filing consequences. We check whether an exemption applies to your company before preparing accounts.
Yes, a company that has been incorporated but has not yet begun its intended business activities can often prepare dormant accounts, assuming it meets the relevant definition of dormancy. There may still be transactions to disclose, such as share capital or filing fees, so we review the company's records first. If the company has never traded and no significant transactions exist, dormant company accounts are usually the appropriate route.
Companies House and HMRC use separate tests. A company might satisfy the Companies House definition of dormancy because it has no significant accounting transactions, yet still be required to deal with Corporation Tax matters for HMRC. Equally, HMRC may accept that a company is dormant for Corporation Tax if it has not started trading, but that is not automatic. You may need to notify HMRC and, once HMRC confirms no further Corporation Tax returns are required, no more CT600 returns may need to be submitted. Filing dormant accounts with Companies House does not automatically update HMRC, so we always look at both sides of the compliance picture.
Yes. Dormant company accounts do not replace the separate requirement to send a confirmation statement to Companies House each year. The confirmation statement contains up-to-date company information such as registered office, directors, shareholders and people with significant control. Even if your accounts show dormancy, you may still need to file the confirmation statement to keep the company's statutory records accurate and avoid the company being struck off.
If your South East London company has missed the filing deadline for dormant accounts, it is important to address it quickly. Every late-filing case depends on its facts, and we cannot guarantee the removal of penalties, but we can help you bring your filings up to date and discuss whether an appeal may be appropriate in your particular circumstances.
