When Does a Company Qualify as Dormant?

A company may be considered dormant for Companies House purposes if it has no significant accounting transactions during the accounting period. That means the company has not traded, received income, incurred expenditure, or made other entries required in its accounting records. However, dormancy is not simply a case of having no sales. For example, a holding company that receives dividends, or a company with bank interest, may not be dormant unless specific exemptions apply. Equally, being dormant for Companies House does not mean a company is automatically dormant for Corporation Tax purposes with HMRC. A dormant company generally still has to file the required annual accounts with Companies House, and it may also need to submit a confirmation statement. Before deciding how to proceed, we review your unique circumstances to confirm whether dormant company accounts are appropriate and what filings remain outstanding.

Dormant company accounts are annual accounts prepared for a company that is dormant for Companies House purposes. They are filed with Companies House and show that the company has had no significant transactions requiring entry in its accounting records, other than any permitted items such as shares issued or filing fees. Even though the company is not trading, the accounts still need to meet the applicable statutory requirements, and the correct forms under the Companies House framework may be required.

Yes, in most cases. Unless a specific exemption applies, a dormant company is still required to prepare and file annual accounts with Companies House. Dormancy does not remove the filing obligation. Your accounts may be simpler, but they are still required each year, along with other obligations such as a confirmation statement when that is due. We can check your company's exact position and prepare the appropriate dormant company accounts.

A dormant company may be able to use the micro-entity reporting framework if it qualifies as a micro-entity under the relevant size criteria and is not excluded. Micro-entity accounts are a simplified reporting option, but dormancy and micro-entity status are separate matters. We consider your company's legal structure, turnover, balance sheet total and number of employees to determine eligibility and then choose the correct framework for preparing and filing your accounts.

Companies House and HMRC use different rules for dormancy. A company might be dormant for Companies House purposes because it has no significant accounting transactions, but HMRC may still expect Corporation Tax activity. To be treated as dormant for Corporation Tax, the company generally needs to have ceased trading and have no income or other chargeable gains. HMRC may need to be notified separately, and after that, a Corporation Tax Return may not be required for future periods unless circumstances change. Filing dormant company accounts with Companies House does not automatically update HMRC.

Yes, usually. A confirmation statement is a separate Companies House filing from your annual accounts. It confirms that the information Companies House holds about your company, such as directors, registered office and statement of capital, is accurate. A dormant company is still incorporated and generally needs to file a confirmation statement at least once every 12 months. We can help you prepare this alongside your dormant company accounts.

If the required accounts are not filed by the applicable deadline, Companies House can issue a late-filing penalty even for a dormant company. The penalty amount depends on how late the accounts are and other circumstances. Dormant status does not provide automatic protection. If you have overdue accounts, the sooner they are filed, the better. We are unable to guarantee removal of any penalty, but we can help you bring filings up to date and advise on the process.
