I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company File Dormant Accounts?

A company may be considered dormant for accounting and Companies House purposes if it has had no significant accounting transactions during the relevant period. This could include a company that has not yet started trading, a company that has stopped trading, or a holding company that has no income or expenditure. However, dormancy is not automatic. It depends on the specific circumstances and applicable rules, and it is important to distinguish between dormancy for Companies House purposes and dormancy for Corporation Tax purposes with HMRC. Even if a company is dormant, it may still need to file its annual accounts with Companies House, and it may also be required to submit a confirmation statement. Micro Entity Accounts can review your situation and explain what applies to your dormant limited company in South Core, making sure you understand your filing obligations before they become a problem.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Dormant company accounts are the annual accounts prepared for a limited company that is dormant for accounting purposes. They must meet the requirements set by Companies House, which may include a balance sheet and supporting notes. Preparing dormant accounts does not mean the company has no filing obligation; generally, the accounts must still be delivered to Companies House by the statutory deadline unless a specific exemption applies.

Yes, in most cases. A company that is dormant for Companies House purposes is still required to file its annual accounts unless it has applied for and is eligible for a specific exemption. Dormancy does not remove the need to file accounts or to keep the company's statutory records up to date. If you are unsure whether your company qualifies for an exemption, it is sensible to take professional advice before the filing deadline passes.

Some dormant companies may also qualify as micro-entities, and if they do, they may be able to use the micro-entity reporting framework, which allows a simplified balance sheet and notes. However, not every dormant company is automatically a micro-entity. Eligibility depends on factors such as turnover, balance sheet total and number of employees. We can help you determine which reporting framework is appropriate and prepare the relevant accounts.

Companies House and HMRC use different definitions and have different rules. A company can be dormant for Companies House purposes because it has no significant accounting transactions. HMRC's concept of dormancy for Corporation Tax is a separate matter, and approval may be needed before Corporation Tax Returns can stop. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant for tax purposes, so you may still have obligations with HMRC.

Yes. A confirmation statement is a separate filing made to Companies House that confirms the company's registered details are accurate and up to date. Filing dormant accounts does not replace the need to submit a confirmation statement. Most dormant companies must file a confirmation statement at least once every 12 months, so it is important to keep this on your compliance calendar.

If a company is dormant for Corporation Tax purposes and HMRC has agreed that it no longer needs to file Corporation Tax Returns, then no further returns may be required. However, this only applies once you have actively notified HMRC and received confirmation. Simply being dormant for Companies House purposes does not automatically end your Corporation Tax filing obligations. We can advise on the correct process and help you communicate with HMRC.

If the annual accounts are filed late, Companies House may issue a late-filing penalty, even for a dormant company. The penalty amount can vary and depends on how late the accounts are filed. Paying the penalty does not remove the obligation to file the outstanding accounts. If you have missed a filing deadline, it is important to act quickly. While we cannot guarantee a successful penalty appeal, we can review your circumstances and assist in preparing and filing the outstanding accounts.

Yes. Many companies that have not yet started trading are dormant, and we regularly help directors in South Core prepare and file dormancy accounts for such companies. Whether your company has never traded or has stopped trading, the key is to ensure that the accounts accurately reflect the company's position and that any required Companies House filings are made on time. We can assist with dormant accounts, confirmation statements and related compliance.
