We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can You File Dormant Company Accounts in Sidcup?

A company is generally dormant for accounting purposes if it has no ‘significant accounting transactions’ during the relevant accounting period. A transaction can include any activity with commercial value, such as payments, receipts or certain transfers. However, dormancy is not determined simply by having no sales or no trading activity. The rules depend on the company’s circumstances and the applicable Companies Act requirements. Importantly, a company that is dormant for Companies House purposes may still need to file annual accounts unless a specific exemption applies. Dormancy for Companies House purposes is also separate from the company’s Corporation Tax position with HMRC. A company may be dormant for Companies House yet still have obligations to HMRC, and a company that is dormant for Corporation Tax may need to notify HMRC and may not need to file future Corporation Tax Returns once HMRC has confirmed this, subject to the relevant rules. Filing dormant company accounts does not automatically tell HMRC that the company is dormant for Corporation Tax. Our team can review your circumstances and explain whether dormant status is appropriate, and what filing obligations remain.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are annual accounts prepared for a company that is dormant for accounting purposes under the Companies Act. They are filed with Companies House where required. While the accounts are simplified compared to those of an active company, they must still be prepared accurately and on time. The specific format may depend on whether the company qualifies for the micro-entity reporting framework or another applicable exemption.

Yes, in most cases a dormant company still needs to file annual accounts with Companies House. Dormant status does not remove the requirement to file. Companies House allows some dormant companies to file simpler accounts, but a filing obligation generally remains unless a specific exemption applies. Our accountants can confirm whether your company is required to file and assist with preparing and filing the dormant company accounts.

Some dormant companies may also qualify as micro-entities and be able to prepare their accounts using the micro-entity framework, including abridged or simpler formats. Eligibility depends on the company's size, structure and the applicable accounting requirements. Not every dormant company qualifies for micro-entity accounts, and dormancy and micro-entity status are separate concepts. We can review your circumstances and help determine the correct reporting framework.

Companies House and HMRC have different definitions of dormancy. Being dormant for Companies House means the company meets the accounting criteria for dormancy under the Companies Act, but this does not automatically mean the company is dormant for Corporation Tax. HMRC treats a company as dormant for Corporation Tax generally when it has no income, no business activity and has notified HMRC. Filing dormant company accounts with Companies House does not notify HMRC of Corporation Tax dormancy. If you want to stop filing Corporation Tax Returns, you need to follow HMRC's separate procedure. Our team can guide you on both sets of obligations.

Yes, a dormant company generally still needs to submit a confirmation statement to Companies House at least once a year, unless an exemption applies. The confirmation statement is separate from dormant company accounts and confirms that the company's registered office, directors and shareholder information are correct and up to date. Our accountants can help ensure that both your accounts and confirmation statement are filed correctly.

A dormant company can still receive a late-filing penalty if it does not file its annual accounts by the applicable deadline. Dormant status does not protect a company from these consequences. Penalties are set by Companies House and may increase the longer the accounts are overdue. If your accounts are already late, it is important to file them as soon as possible. In some cases, Companies House may consider an appeal if there was a valid reason for the delay, but eligibility depends on the circumstances. We can assist in preparing and filing overdue dormant company accounts and, where appropriate, help with an appeal on the correct basis.

Yes. Many companies are incorporated for future use or as holding entities and have never traded. If the company meets the relevant dormancy criteria, dormant company accounts may be appropriate for Companies House filing. Even if the company has never traded, it may still have statutory obligations such as confirmation statements and, depending on its Corporation Tax status, correspondence with HMRC. Our qualified accountants can prepare the dormant accounts and advise on the remaining filing requirements.
