We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Sandwich Kent Company File Dormant Accounts?

A company is generally considered dormant for Companies House purposes if it has no significant accounting transactions during the period. In practice, this might include companies that have not yet started trading, have stopped trading, or are being kept for future use. However, dormancy is not simply about having no sales or no current activity — it depends on the company’s specific circumstances and the relevant accounting and Companies House rules. Importantly, a dormant company is not automatically exempt from filing annual accounts or submitting a confirmation statement. Additionally, being dormant for Companies House is different from being dormant for HMRC Corporation Tax purposes. HMRC’s treatment depends on the company’s Corporation Tax position, and a company may need to notify HMRC separately if it believes it is dormant for tax purposes. We can review your situation and help you understand what obligations actually apply to your dormant company in Sandwich Kent.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts prepared for a company that has no significant accounting transactions during the relevant period. They must meet the applicable Companies House requirements and are filed alongside the company's other statutory filings. Even though the company is dormant, the accounts still need to be prepared and filed unless a specific exemption applies.

Yes, in most cases. A company that is dormant for Companies House purposes generally still has to file its annual accounts with Companies House by the statutory deadline. Filing dormant accounts does not remove the obligation to file — it simply reflects the company's dormant status. There may be limited exemptions in certain circumstances, but these depend on the company's individual situation.

Some dormant companies may also qualify as micro-entities and can use the applicable micro-entity reporting framework. However, not every dormant company is automatically a micro-entity, and dormancy and micro-entity status are not the same thing. Eligibility depends on factors such as the company's turnover, balance sheet total and number of employees, as well as whether it qualifies under the relevant regulations. We can help determine the appropriate reporting framework for your company.

A company can be dormant for Companies House purposes and still be active for Corporation Tax, or vice versa. Companies House dormancy relates to the absence of significant accounting transactions. HMRC dormancy is a separate tax concept and depends on the company's Corporation Tax position. Filing dormant accounts with Companies House does not automatically tell HMRC that the company is dormant for tax purposes. You may need to notify HMRC separately, and ongoing Corporation Tax Return requirements depend on your circumstances.

Yes, unless the company is exempt or has been dissolved, a dormant company must still file a confirmation statement at least once every 12 months. The confirmation statement is separate from dormant company accounts and does not replace them. It is used to confirm that the information Companies House holds about the company is up to date, including details of directors, shareholders and registered office.

It depends on the company's Corporation Tax position. If a company is dormant for Corporation Tax purposes and HMRC has confirmed that no further Corporation Tax Returns are required, then it may not need to file them. However, this is not automatic. A company must notify HMRC of its dormant status, and HMRC will decide whether a return is still needed. Even if the company is dormant for Companies House, the Corporation Tax obligations are separate and must be handled with HMRC directly.

If required annual accounts are filed late with Companies House, the company can receive a late-filing penalty, even if it is dormant. There is no automatic exemption from late penalties simply because a company has no trading activity. If a penalty has been issued, you may be able to appeal depending on the circumstances and applicable Companies House rules. Paying the penalty does not remove the requirement to file the outstanding accounts. We can assist you in bringing overdue accounts up to date and addressing the situation.

Yes. If your dormant company in Sandwich Kent has missed a filing deadline, we can review your records, prepare the outstanding dormant company accounts and assist with the Companies House filing. We can also help you understand any penalties issued and what options may be available. Acting promptly is important to avoid further compliance issues.
