Dormant company accounts are accounts prepared for a company that is dormant for accounting purposes under company law. They must be prepared according to the relevant Companies House filing requirements, often using a simplified format if the company qualifies. Even though the company has no significant accounting activity, the accounts still need to be delivered to Companies House when required.

In most cases, yes. A dormant company generally still has to file its annual accounts with Companies House unless a specific exemption applies. Dormancy does not remove the filing obligation. Eligibility for exemptions depends on the company's individual circumstances, and directors should not assume that no accounts are needed simply because the company is dormant.

Some dormant companies may also qualify as micro-entities and could use the micro-entity reporting framework, often FRS 105. Qualification depends on factors such as turnover, balance sheet total, and number of employees. Dormant status does not automatically make a company a micro-entity, and the appropriate reporting framework must be checked before any accounts are prepared.

The two definitions are separate. A dormant company must still keep its registered information up to date, including details of directors, shareholders, and registered office, and confirm that information through the confirmation statement process.

It depends on the company's position with HMRC. If HMRC has been notified that the company is dormant for Corporation Tax purposes and has confirmed that no further returns are required, then a CT600 may not be needed unless circumstances change. However, if HMRC still expects a return, it must be submitted by the applicable deadline. Being dormant for accounts purposes does not automatically mean the company is dormant for Corporation Tax, so it is important to check the company's obligations with a professional.

If accounts are not delivered to Companies House by the company's filing deadline, a late-filing penalty may be issued. Dormant status does not protect a company from penalties if the required accounts are overdue. The amount of the penalty depends on how late the accounts are and the company's particular situation.
