We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can Dormant Company Accounts Be Filed?

In simple terms, dormant company accounts are appropriate when a company has had no significant accounting transactions during the accounting period for Companies House purposes. A company may be considered dormant if it has no income or expenditure that must be entered in its accounting records, other than certain permitted payments. This can include companies that have not yet started trading, have stopped trading, or are being held for a future project. However, dormancy does not mean a company is exempt from all filing obligations. The company may still need to file its annual accounts with Companies House and submit a confirmation statement when due. It is also important to distinguish this from HMRC’s separate definition of dormancy for Corporation Tax. Being dormant for Companies House does not automatically mean the company is dormant for HMRC purposes. The correct treatment depends on the company’s individual circumstances and the relevant rules. We can review your situation and help you decide what needs to be filed.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are the annual accounts prepared for a company that is considered dormant under the Companies Act requirements. They generally include a balance sheet and limited additional disclosures, and they may need to be filed with Companies House. Dormancy is not simply a lack of trading; the company must meet the relevant criteria and have had no significant accounting transactions during the period. Even a dormant company usually continues to have a filing obligation.

Yes, in most circumstances a dormant company still needs to file an annual return of accounts with Companies House. The fact that a company is dormant does not automatically remove its requirement to file accounts. There are some exemptions that may apply in limited situations, but those depend on the company's type and activities. It is best to check the position with a professional rather than assume no accounts are needed.

A dormant company may qualify to use the micro-entity reporting framework if it meets the eligibility criteria for a micro-entity under the Companies Act. Dormancy and micro-entity status are two separate matters, so not every dormant company will qualify. If the company is eligible, the annual accounts can be prepared on a simplified basis. We can confirm whether this applies to your company and prepare the appropriate accounts.

Companies House and HMRC apply different tests for dormancy. A company may be dormant for Companies House purposes if it has no significant accounting transactions, while HMRC's dormancy test for Corporation Tax is based on whether the company has any income or other activity that needs to be reported to HMRC. A company can be dormant for Companies House but still have Corporation Tax obligations, or it may be dormant for both, depending on the facts. Notification to HMRC may also be required in some cases. Separate advice is often needed.

Yes. The confirmation statement is a separate filing, sent to Companies House at least once every 12 months, and it is not replaced by filing dormant company accounts. Even a dormant company is generally required to submit a confirmation statement and keep its registered details, such as the registered office and director information, up to date.

That depends on the company's Corporation Tax position and its relationship with HMRC. Being dormant for Companies House does not automatically mean a company is dormant for Corporation Tax purposes. In some circumstances, a dormant company may need to notify HMRC and may not need to file further Corporation Tax Returns once HMRC has confirmed that a return is no longer required. In other cases, a return may still be necessary. We can help you understand your company's obligations.

Late filing of accounts can lead to automatic penalties from Companies House, even for a dormant company. The amount of the penalty depends on how late the accounts are and may be higher for more serious delays. Dormant status does not necessarily protect a company from late-filing penalties. If accounts are already overdue, the company should file them as soon as possible and, where appropriate, consider whether an appeal is possible under the relevant rules. We can help prepare and file the outstanding accounts and discuss your next steps.

To prepare dormant company accounts, we need details about the company and its recent records. This will normally include the company name and registration number, the date of incorporation, the accounting period end date, the names of directors and shareholders, and confirmation that the company has had no significant accounting transactions during the year. If the company has held any prior accounting records or filed earlier accounts, those may also be useful. We can guide you on exactly what is required.
