Dormant company accounts are statutory accounts prepared for a company that is dormant for accounting purposes. They summarise the company's financial position, often on a simplified basis, and are filed with Companies House to satisfy the annual accounts requirement. The exact format depends on the company's eligibility and the reporting framework that applies.

Yes, in most cases. A dormant company generally still needs to deliver annual accounts to Companies House because dormancy does not remove the statutory requirement to file. There may be exemptions in very limited circumstances, but these depend on the type of company and its status. We can review the circumstances to confirm what needs to be filed.

The tests are different. Dormant for Companies House concerns whether the company had no significant accounting transactions for the purpose of filing annual accounts. Dormant for HMRC concerns Corporation Tax and whether the company has notified HMRC that it is inactive. Filing dormant accounts at Companies House does not automatically tell HMRC that a company is dormant for Corporation Tax.

A confirmation statement is separate from annual accounts. A dormant company is normally still required to submit a confirmation statement to Companies House and ensure its registered office, directors and shareholders are correctly recorded. We help ensure this statutory process is not missed.

Some dormant companies may also qualify as micro-entities and be able to use the micro-entity reporting framework. This depends on the eligibility criteria, including turnover, balance sheet and employee thresholds.
