I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

When Can a Company Prepare Dormant Company Accounts?

A company may be considered dormant for Companies House purposes if it has no significant accounting transactions during the period. This can include a newly incorporated company that has not yet traded, or an established company that has stopped trading and has no reportable activity. However, dormancy does not automatically remove filing obligations. Most dormant companies are still required to deliver annual accounts to Companies House, and they may also need to submit a confirmation statement. It is also important to distinguish between being dormant for Companies House and being dormant for HMRC’s Corporation Tax purposes. A company that is dormant for Companies House may still need to notify HMRC and, depending on its situation, may still need to file Corporation Tax Returns. Dormant company accounts are not simply “nothing” to file — the right paperwork depends on the company’s specific circumstances and the applicable rules.

A Company May Be Dormant If:

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

─── How It Works

How The Filing Works

01

Send us your company details

Give us your company number and accounting reference date. That is usually everything we need to begin.

02

We confirm dormant status

We review the period against the Companies Act definition of dormancy and flag any transaction that would rule it out.

03

You approve the accounts

We prepare the dormant accounts and send them for a director's approval by email. No paperwork or postage.

04

We file and confirm

Your accounts go to Companies House and HMRC is notified. You receive the filed copies and acceptance confirmation.

Dormant company accounts are statutory accounts prepared for a company that is dormant for accounting purposes. They are required when a company has no significant accounting transactions during the period, apart from certain permitted items such as share capital payments or filing fees. Even a dormant company must generally file accounts with Companies House unless a specific exemption applies, and the accounts must meet the required format and content rules.

Yes, in most cases. A company that is dormant for Companies House purposes is still required to deliver accounts to Companies House each year unless it qualifies for a specific exemption. Being dormant does not automatically mean being exempt from filing. If the accounts are required and are not filed by the deadline, the company can face late-filing penalties.

A dormant company may be able to file micro-entity accounts if it also qualifies as a micro-entity under the Companies Act and chooses the micro-entity reporting framework. Dormancy and micro-entity status are separate conditions — not every dormant company automatically qualifies. We can review your company’s eligibility and help you use the appropriate framework.

Companies House dormancy is based on accounting transactions and affects your annual accounts filing requirements. HMRC has its own definition of dormancy for Corporation Tax purposes. A company may be dormant for Companies House but still be within the charge to Corporation Tax, which means it may need to notify HMRC and possibly submit Corporation Tax Returns. Filing accounts with Companies House does not automatically tell HMRC that the company is dormant.

Yes, generally. A confirmation statement is a separate filing with Companies House that confirms the company’s registered details are up to date. It must be submitted at least once every 12 months, and dormant company accounts do not replace it. Keeping the register accurate is an ongoing obligation for a dormant company.

If required dormant accounts are not filed by the applicable deadline, Companies House will generally issue a late-filing penalty. The amount can depend on how late the accounts are and the company’s filing history, and dormancy does not automatically prevent a penalty. If you have overdue accounts, we can help you prepare and file them as soon as possible. In cases where a penalty has been issued and there are valid grounds, we can also assist in understanding the appeals process — though acceptance of any appeal depends on the circumstances.

Yes. If your company has missed its deadline for dormant accounts, it is important to bring the filing up to date. We can review your company’s records, prepare the dormant accounts for your approval and file them with Companies House. We can also advise on any separate confirmation statement or Corporation Tax obligations so you can get back on track.
