Dormant accounts are separate from confirmation statements and Corporation Tax Returns, so it is important to understand exactly what applies to your company.
Yes, in most cases. The fact that a company is dormant does not automatically remove its obligation to file annual accounts with Companies House. Unless a specific exemption applies, directors must still ensure that the appropriate accounts are prepared and submitted by the statutory deadline. A company that has never traded may be able to file dormant accounts if it meets the Companies House dormancy definition. That will depend on whether it has had any reportable accounting transactions since incorporation and on the company's particular circumstances. Even then, the directors normally remain responsible for filing accounts and a confirmation statement, so it is worth taking advice if you are unsure about your company's position.
For Companies House, dormancy is focused on whether the company has significant accounting transactions. HMRC takes a separate view for Corporation Tax purposes, looking at the company's tax position and any notifications it has sent about its status. A company can be dormant for Companies House yet still have open Corporation Tax matters with HMRC, so filing dormant accounts does not automatically end your Corporation Tax obligations unless HMRC has confirmed otherwise.
