Dormant company accounts are the annual accounts that a company submits to Companies House for a period in which it has had no significant accounting transactions. They are still statutory accounts and must meet Companies House requirements, even though the company has not been actively trading. Eligible companies may file a simpler set of accounts, but the obligation to file remains unless a specific exemption applies.
Yes, in most cases. A dormant company is not usually exempt from filing annual accounts. Unless a specific exemption applies, dormant company accounts must still be prepared and filed with Companies House within the statutory deadline. The accounts may be simpler, but they still need to be delivered on time to avoid penalties. Being dormant does not remove the filing obligation.
A dormant company may qualify for the micro-entity reporting framework if it meets the relevant eligibility criteria under the Companies Act. Dormancy and micro-entity status are separate matters, and not every dormant company automatically qualifies. The company's legal structure, turnover, balance sheet totals and number of employees must be considered. Where eligible, dormant company accounts can be prepared using the micro-entity format, which often simplifies the reporting burden.
Companies House and HMRC have different definitions and rules. A company may be dormant for Companies House purposes if it has had no significant accounting transactions, whereas HMRC's dormancy for Corporation Tax is based on the company's trading activity and tax position. A company could be dormant for Companies House but still be required to file Corporation Tax Returns, or it might be able to notify HMRC that it is dormant for tax. The two are not automatic, and you may need to deal with both separately.
Yes. Filing dormant company accounts does not replace the confirmation statement. A dormant limited company must still submit a confirmation statement to Companies House each year to confirm that its registered details are correct, and it must keep company information up to date. The confirmation statement is a separate filing from the annual accounts.
It depends on the company's circumstances with HMRC. A company that is dormant for Corporation Tax purposes may need to notify HMRC and may not need to file further Corporation Tax Returns if HMRC confirms that no return is required, subject to the applicable rules. Filing dormant company accounts with Companies House does not automatically inform HMRC of dormancy. Companies House imposes late-filing penalties on companies that deliver their accounts after the statutory deadline. Dormant status does not protect a company from these penalties if the accounts are late. The amount of the penalty depends on how late the accounts are filed and whether it is a first or repeat offence. Paying a penalty does not remove the obligation to file the outstanding accounts. If you have missed a deadline, it is important to file as soon as possible and consider whether the circumstances support an appeal.
